**The Resilience Formula: How to Keep Your Team Together in Times of War**

In a world where leadership was once synonymous with predictability, stability, and well-defined strategies, the war in Ukraine has shattered those traditional models. [More than 70% of Ukrainian companies](https://kse.ua/research/impact-of-war-on-ukrainian-business/) have suffered serious losses, and [over half of business leaders](https://eba.com.ua/reports/war-business-survey-2024/) have had to make decisions that would have seemed unthinkable just a few years ago — mass layoffs, radical business pivots, or even full shutdowns. The crisis has brought not only economic turbulence but also a profound erosion of trust — in leadership, in teams, and in the future itself.

[According to research by the Kyiv School of Economics](https://kse.ua/research/economic-consequences-of-war/), over 62% of companies lost up to 40% of their revenue during the first year of the war, and 33% were on the brink of closure. Nearly every second business had to make tough staffing decisions, triggering widespread anxiety among employees — [45%](https://news.gallup.com/poll/374682/employee-engagement-crisis.aspx) reported a significant drop in motivation due to the ongoing instability. 
 
 These challenges are transforming not only business models but the very nature of leadership.

In such extreme conditions, leaders walk a fine line between ensuring business survival and preserving humanity within their teams. Every decision becomes a balance between pragmatism and empathy, between rapid response and emotional support for people who rely on them during the darkest hours.
 
This second piece in our series explores exactly that — how top leaders manage to stay the course while everything around them is falling apart.
 
We spoke with three leading women in Ukrainian business — **Olena Vdovychenko** (CEO of METRO Cash & Carry Ukraine), **Mariia Osyka** (Director of Agricultural Investments at NCH Capital), and **Olha Ustynova** (CEO of Vodafone Ukraine). We asked them how their understanding of leadership has changed over the past two years, and what helps them keep their teams strong under immense stress, loss, and uncertainty.

Their insights don’t offer one-size-fits-all answers, but rather lived experiences that are shaping a new leadership lens — one that is more flexible, humane, and responsible. Because in today’s world, leadership is no longer just about moving forward — it’s about staying grounded when the very foundations are shaking.

To maintain balance between tough crisis decisions and preserving human capital, I always rely on three pillars:
 
- **A clear strategic direction** — defined before the crisis hits.
- **Empathy** — the foundation of trust and support.
- **Adaptability** — the uniquely Ukrainian ability to find solutions in new realities.
 
These are the foundations. Everything else — actions, processes, response algorithms — are activated at the moment.
 
At METRO Ukraine, people have always been our priority. Supporting, retaining, and nurturing their potential is a key part of our strategy. In times of crisis, I follow what I call the KPI principle — _Keep People Informed, Involved, Inspired_. This shapes all our decisions:
 
**People**: Team, customers, partners, and their safety
**Business processes**: Our humanitarian mission comes first — ensuring essential goods are available, supply chains stay open, and quality remains high
**Financial prudence**: Carefully managing costs to maintain liquidity and solvency
 
It’s worth emphasizing: in a crisis, **communication is critical**. Teams must clearly understand what’s happening, what support they can expect, and what the company’s next steps are.
 
Within four months of the full-scale invasion, we had adapted to the new reality and stabilized our operations. Most importantly, **we kept our team together**. When people understand where the company is headed and why, they stop being passive participants — they become creators of the future.

For our company’s leadership, this understanding has always been a top priority. As far back as 2016, all enterprises within the Agroprosperis Group identified a core team of key specialists who became central to our decentralized business management model and a cornerstone of our motivation system. As experience has shown, this approach laid the foundation for our company’s success.
 
When challenging times came — first the pandemic, then the war — our top priority remained the same: safeguarding the health and safety of our employees and teams.

How Do We Balance Swift Decision-Making with Humanity?

**1. The Leader as Conductor: Presence, Example, and Strategic Vision**

A company is like an orchestra where everyone plays an important part. The leader is the conductor who creates harmony. They must grasp the big picture while remaining attuned to the team’s mood and condition. Over the past 125 years — across four generations — humanity has lived through similar events three times. Thus, passing on the crystallized wisdom of previous generations is essential.
Employees’ physical and mental health directly affect a company’s resilience. A leader must remain calm, trust their experience and intuition, and deeply understand human emotions and historical cycles. Crisis management experience becomes crucial — a leader must rely on their accumulated insights and act decisively.
What helps? A personal mission, team trust, a love for people, optimism — and even humor. Setting direction, rhythm, energy, inspiration, and support under all circumstances is the leader’s daily modus operandi.
 
**2. Systematic Communication — Daily Contact and Oversight**

In times of crisis, regular (morning and evening) meetings are essential. They allow leaders to keep a pulse on team morale, monitor task execution, and address concerns in a changing environment. Robust communication systems are a top priority — we take cues from the military. Proficiency in using video conferencing and mobile group chats is a must at all levels. When conditions improve, combining in-person and video meetings is the most effective format.
 
**3. The Vision of Victory and Adaptation**

A leader must swiftly assess how events impact company objectives and quickly adapt strategies and tools to meet goals under any circumstances. Back in 2016, we implemented virtual modeling using mathematical algorithms, allowing each team to choose its optimal path to results. This innovation helped us weather both the pandemic and the war, maintaining pre-war performance levels.
 
**4. Efficiency, Decentralization, and Delegation**

Belief in the creative power of individuals, trust and respect for employees, and clear understanding of tasks and authority to make independent decisions — these are the pillars of company resilience in challenging times.
 
**5. Unified Operating System and Automation**

The world has changed, and IT is now a core production tool. Automation streamlines processes, cuts costs, ensures transparency, and unites the team. Modern technology makes production and communication cheaper, clearer, and more accessible, enabling team cohesion. The performance of individuals and the company as a whole can be viewed from anywhere in the world, at any time.
 
**6. Motivation System**

We live in a material world, yet every person has unique talents meant to be realized and shared with society. It’s crucial that shareholders understand the need to allocate part of the financial results toward staff incentives. We’ve created a unique motivation system that allows key specialists to invest in the company and receive a share of its annual earnings. This system financially rewards all employees.
 
**7. A Healthy Corporate Spirit**

Team development planning is vital in both stable and challenging times — it’s the main investment! Training at all levels and personal self-improvement efforts form the basis for talent development and career planning. Structured experience sharing is a great opportunity to benchmark knowledge and skills. Corporate events energize, develop, and elevate teams to new levels of focus and morale. Celebrating achievements and receiving well-earned recognition turns the company into one big family.

**8. Innovation and Creativity**

The world is moving forward, and it’s crucial to involve staff in creative processes — to discover and apply their talents in building the new and unprecedented. This fosters intellectual growth, drives synergy, strengthens competitiveness and resilience, and builds a winning team spirit. Organizing, encouraging, and productively directing creativity is one of a leader’s key responsibilities.

For me as a leader, the greatest challenge during wartime wasn’t just making critical decisions quickly — it was preserving the team’s trust, supporting our people, and staying true to a principle I deeply believe in: **people are a company’s most valuable resource**, and we will not cut corners on that — even in the hardest of times.
 
In the very first hours of the full-scale invasion, we made three core decisions that would define our strategy moving forward:
 
- We would not lay off staff.
- We would continue paying full salaries for as long as possible.
- We would do everything in our power to keep our employees safe.
 
These principles became the foundation of our crisis leadership model. **2022 was a year of hard efficiency**. We directed all resources toward resilience — but **not at the cost of people**. We organized evacuations for employees and their families, and reimbursed expenses for those who lost their homes. This laid the groundwork for trust — something we still see today: according to our eNPS survey, **88% of colleagues feel the company genuinely cares about them**.
 
The war changed all of us. We became more anxious, more fatigued. And yet, for many, work became a stabilizing force. The sense of purpose, the structure of the day, the team nearby — all of this helped people stay grounded and adapt to a new reality. We did everything we could to preserve that anchor: we introduced flexible schedules, equipped offices with generators and shelters, and continue to invest in the safety and well-being of our people.
 
One of the biggest challenges we faced was **how to ensure people’s safety while keeping our network running reliably**. In the early days, the situation changed by the hour. We made what seemed like a risky decision at the time: **we decentralized decision-making and gave local teams the authority to act**. For a large infrastructure company, this wasn’t easy. But we clearly defined our framework:
 
- Employee safety
- Network continuity
- Support for the country
 
If a decision aligned with these three criteria — it was the right one. This flexibility allowed us to respond effectively where centralized instructions simply couldn’t keep up.
 
Let me share an especially moving story from Mariupol: one of our engineers, risking his life, kept refueling generators so that even a single mobile connection point would remain operational in the city. When the final base station was destroyed, he gave the remaining fuel to engineers from another operator — just so that **people in Mariupol could stay connected with their loved ones a little longer**. This wasn’t just heroism — it was responsibility and humanity, born from a company culture that treats people with genuine care.
 
Our goal has never been just to **retain the team**, but to actively support it. In 2023, we organized a series of sessions with social psychologists and trained managers to handle sensitive conversations, particularly as veterans began returning to work. We understand that post-service reintegration is a journey that requires time, empathy, and thoughtful communication.
 
One of our proudest achievements is our **new underground contact center in Dnipro**. Previously, during air raid alerts, staff had to run up and down floors multiple times a day — a stressful and disruptive experience for both employees and customers. In just five months, we implemented a solution that allows operators to **stay safe in shelter while continuing to work uninterrupted**. It’s a real-life example of balancing **safety and efficiency**.
 
We haven’t shut down our well-being programs. We haven’t cut insurance benefits. On the contrary — we regularly review salaries, pay out bonuses, resume in-person events and training programs, and reactivated internal communities. In times of uncertainty, **stability and the opportunity to grow** are the best investments in human capital.
 
Leadership during wartime means being present — **even when you’re afraid yourself**. It’s about making difficult decisions while remaining deeply human.
 
Today, I can say with confidence: **preserving people isn’t just a moral decision — it’s a strategic one**. Because a business that hasn’t lost its soul won’t lose its future either.

Yes, crises always intensify leadership challenges — but they also unlock new opportunities.
 
According to [McKinsey](https://www.mckinsey.com/capabilities/strategy-and-corporate-finance/our-insights/the-art-of-21st-century-leadership-from-succession-planning-to-building-a-leadership-factory), only one in four companies believes its leadership model is prepared for future challenges. At the same time, over 60% of businesses report a sharp decline in employee trust and engagement — a clear sign that traditional approaches are no longer effective. The war in Ukraine, combined with global trends such as automation and economic instability, has underscored a powerful truth: effective leadership is no longer possible without a deep focus on the human factor.
 
The experiences of Olena Vdovychenko, Mariya Osyka, and Olha Ustinova are not polished success stories — they are real accounts of leading through constant stress, loss, and uncertainty. Their strategies show that even in the most difficult circumstances, it is possible to preserve your team, rebuild trust, and chart a course toward sustainable growth. This requires a unique blend of clear strategy, flexibility, open communication, and genuine humanity.
 
For the 21st-century leader — whether operating on a global or local scale — the goal is not to avoid change, but to stand beside your team in the darkest times, holding on to your faith in people and the future.
 
Resilience isn’t a single formula — it’s a daily mix of decisions, values, and actions. It’s about a vision that looks beyond quarterly reports. About the ability to be present. And the belief that preserving dignity in the hardest times is the strongest foundation for rebuilding.
 
Because a business that doesn’t lose its people — doesn’t lose itself.

**Leading Through War: From Emergency Response to Sustainable Resilience**

As the war in Ukraine stretches into its fourth year, business leaders are learning to adapt not only their operations — but their mindsets. In this month’s edition, we hear from four members of supervisory boards across banking, healthcare, and industry about leading with empathy, navigating crises with agility, and building cultures of trust in extraordinary times.

Each brings a unique lens shaped by their sector, experience, and leadership style.

- **Julia Pashko** serves on the supervisory board of Oschadbank. She has overseen significant reforms in public finance and state-owned enterprises and now focuses on building resilient teams and systems inside one of Ukraine’s largest state-owned banks.
- **Olga Tomash** is a supervisory board member at Raiffeisen Bank Ukraine, and Ipak Yuli Bank (Uzbekistan), and an independent consultant. Formerly on the board of PrivatBank, she offers a first-hand view of banking leadership through the earliest and most chaotic days of full-scale war.
- **Victoria Smarodina** is a board member at JSC Farmak, Ukraine’s leading pharmaceutical manufacturer. Her perspective centers on business transformation, workforce strategy, and long-term adaptation in a high-skill, high-pressure industry.
- **Natalie Polischuk** brings deep experience in both energy and healthcare governance, currently serving on the boards of Dobrobut and former Board member of Ferrexpo. Her approach is grounded in values-based leadership and crisis planning in sectors directly affected by war.

Their stories offer a window into what leadership looks like when the stakes are existential— and why trust, empathy, and clarity have become the new cornerstones of effective boards.

**Leadership in Crisis: The First Response**

**Olga Tomash**

**Leadership in time of war**

Nothing could have prepared us for what faced in the first days after February 24th. No business continuity plan accounted for what was to come. Leaders had to improvise.
At PrivatBank, where I was a member of the SB in 2022, the leadership’s priority was the safety of staff, followed by ensuring service availability. The Executive Team rose to the unexpected challenges of those first days, focusing on maintaining services, on evacuating employees and organizing  backup offices. A 24/7 coordination hub was established almost immediately. Unfortunately, not everyone rose to the moment but fled the country without notice. Luckily, there were leaders who stood up.

Communication could have been better. But the Regional directors and the Network management played a crucial role— their leadership and personal example inspired confidence across the network.

Remote work processes, developed during the lockdown, became the foundation for crisis response. Employees worked from laptops in cars heading west, in evacuation trains from Dnipro to Lviv, in shelters. The entire country worked similarly.
An important early decision was providing financial support and stability for staff. The Board and Supervisory Board decided to increase advance payments for all staff and in the first months continued paying variable (bonus) compensation regardless of performance.

**Stabilization of Operations**

PrivatBank managed to move all its services to the cloud environment in record time. This was made possible by rapid changes in banking regulations, which the NBU managed to implement in consultations with bank leaders. Fast decisions at various levels were essential to enable new processes and risk management tools.
One of the toughest crisis decisions was how to handle employees who had temporarily left the country. How do you ask people to return when some no longer have homes or schools for their children? How to assess employee performance? How do you even set goals under such conditions? The HR team faced an incredibly complex task — both ethically and operationally. Striking a balance between difficult crisis decisions and retaining people was perhaps the most draining challenge of 2022.

**Unique Displays**

What moved me most personally was the story of PrivatBank’s branch in occupied Kherson. From the bank’s perspective, how could we allow employees to work under occupation? Who would dare take responsibility for such a decision? And yet, there were heroes — employees who insisted on showing up, the branch manager, the regional director, the head of the Network, and the Board member responsible for the network. They all believed that keeping the branch open was the right thing to do. The social impact is hard to overestimate. No one could have forced the Kherson employees to work, or regional director to send them to work. It was only through trust and close communication at every level that this was possible. And it worked – _for 132 days._

In summary, **the critical skills and qualities for leaders during the first year of the full-scale invasion were:**

- A deep sense of ownership, responsibility and care for people — both staff and customers;
- The ability to work as a team, coordinate efforts, and make decisions quickly;
- Clear and timely communication;
- A readiness to trust people on the ground and delegate wherever possible.
  
**Leadership on the Fourth Year of War**

By 2025, the war is no longer a crisis but business as usual. Business continuity and recovery plans have been rewritten and tested a hundred times in real life. Banks are opening underground branches to protect their employees and customers in the most dangerous cities. 

_What will we consider a crisis in the future?_

**Human Capital: Protecting People and Purpose**

**Julia Pashko**

_Supervisory Board Member, JSC Oschadbank_

War has redefined what it means to care for employees. In a climate of constant danger, grief, and disruption, mental health and human connection are just as important as financial security.

At Oschadbank, we built our human capital strategy around **three priorities:**

**1. Security and Stability**

We ensured competitive salaries, additional compensation for frontline work, and emergency material support. Shelters were installed in branches, and hybrid work formats offered flexibility and safety. We supported evacuations and temporary housing.

**2. Health and Mental Well-Being**

Voluntary health insurance became standard. First aid training was offered regularly. And we made mental health a core part of our strategy — offering staff psychologists, group sessions, surveys, and self-help tools.

**3. Growth and Belonging**

We didn’t stop developing people. Talent programs, internal trainings, and leadership development continued. We launched a “School of Inclusion” to equip employees with the tools to work with people with disabilities.

We supported mobilized employees and veterans — financially, emotionally, and professionally. We honored fallen colleagues with a Memory Alley and a digital Book of Remembrance. And we deepened internal community through the OschadFamily initiative: from charity marathons to employee-led fundraising for medical supplies and civilian support.

Clear internal communication — through broadcasts, town halls, and a central digital hub — kept people informed and emotionally anchored.

**_Our biggest insight?_**

When the world is falling apart, belonging becomes a survival strategy. People don’t just want a job — they need purpose, stability, and connection.

**In Crisis, People-Centered Leadership Matters the Most**

**Victoria Smarodina**

Supporting people during wartime means walking a fine line. You need to make hard decisions quickly — but without sacrificing fairness or trust. The context is unforgiving: decisions must be made faster, under greater pressure, and with fewer resources. And yet, it is precisely in these moments that leadership is most visible — and most consequential.

In the pharmaceutical sector, where the stakes are often measured in lives and trust is the currency we trade in, the challenges of war cut deeper. Supply chains are disrupted, infrastructure is at risk, and people — our most valuable asset — are under immense psychological, physical, and emotional strain.

From this front line, I’ve learned that three leadership principles are not just helpful — they are essential.

**Some of my lessons are:**

**- Pay fairly — or lose talent.**

During wartime, the labor market becomes even more fragile. Skilled professionals may be displaced, drafted, or emotionally overwhelmed. Talented individuals — the ones who hold critical knowledge and experience — are suddenly faced with impossible trade-offs: safety versus duty, family versus work, survival versus purpose.
In such an environment, compensation must rise to meet not just market shifts but human realities. This isn’t about offering bonuses to boost morale — it’s about preserving dignity and retaining capability. If pay doesn’t reflect the new level of risk, responsibility, and effort, people will leave. Not because they want to — but because they have to.

Fair pay is also a statement of values. It says: We see you. We stand with you. We want you to stay. 

That matters more than ever.

**- Communicate transparently.**

People don’t expect perfection — they expect honesty. They want to understand not just what is happening, but why, how long, and what it means for them.
This means over-communicating, not under-communicating. It means creating space for feedback, questions, and even criticism — and responding to it without defensiveness. It means being visible, vulnerable, and clear.

Leaders who choose silence or spin in a crisis may protect themselves in the short term — but they will lose the hearts of their people in the long run.

**- Prepare people for what’s next.**

It’s easy to adopt a survival mindset during war. To focus only on today, the next shipment, the next quarter, the next emergency. But this mindset, while understandable, is dangerous if it becomes permanent.

Because even during war, the world keeps changing. AI is transforming how we work. Automation is redefining entire roles. The skills we needed five years ago are no longer enough — and the skills we’ll need five years from now are evolving faster than ever.
Investing in people’s growth during wartime may feel counterintuitive — but it is, in fact, the most future-proofing action we can take.

To those of us making decisions in these conditions — in boardrooms, on factory floors, in labs and logistics hubs — the task is clear: act quickly, but never at the expense of people. Lead decisively, but not without compassion. Think long-term, even when the present feels overwhelming.

Because one day, this war will end. And the organizations that will thrive afterward are not just the ones that endured — but the ones that never stopped believing in their people.

**Values and Resilience: Year Four and Beyond**

When crisis strikes, values become more than statements on a wall — they guide every decision, large and small. In the chaos of war, they provide clarity, focus, and a shared language between leaders and teams.

At Ferrexpo Plc, a London-listed mining company with operations in central Ukraine, the Board’s response from the earliest hours of the full-scale invasion was shaped by a single, unshakable priority: the safety and well-being of our people and the communities we serve. This wasn’t about reputation or risk — it was about responsibility. Evacuations were organized. Salaries continued. Support systems were activated. The decisions were swift because the values were already in place.

At Dobrobut, one of the leading private healthcare networks in Ukraine, the mission — saving lives — left no room for ambiguity. Safety protocols were immediately implemented. Frontline staff received round-the-clock support. Medical services continued even under the threat of missile attacks. It was never a question of whether to stay open, but how to do it safely and sustainably. The guiding value of human life gave every decision a clear direction.

One lesson became particularly clear: _trust begins with transparency._ In both organizations, we prioritized open, honest communication — internally and externally. Even when answers were incomplete or conditions rapidly evolving, people needed to understand the why behind our actions. That clarity built resilience. Teams stayed engaged, morale held, and difficult decisions — when grounded in values and communicated with empathy — became not just understandable, but shared.

Now, as we enter the fourth year of full-scale war, we face a new challenge: sustaining that resilience over time. Crisis is no longer temporary — it is the backdrop against which we operate. And yet, the answer remains the same. Values are not a luxury in peacetime; they are the core of effective leadership in times of profound uncertainty.

**Final Thoughts**

What we see across these narratives is that true leadership is deeply human. It is about empathy, trust, adaptability, and courage. It’s about knowing when to act fast — and when to simply listen. It’s about standing your ground not with bravado, but with integrity. And in the most uncertain of times, it’s about building a future worth staying for.

As Ukraine enters the fourth year of full-scale war, the question is no longer, _“How do we survive?”_ It is, _“How do we lead in a world forever changed — and help shape what comes next?”_

The answers won’t be found in manuals. They’ll come from each other — from communities like this one, where experience is shared, vulnerability is met with support, and leadership is constantly redefined.

Let this be a space where we continue to learn, reflect, and lead — not only through crisis, but toward **recovery**, **renewal**, and **impact**.

**Gender Diversity on Supervisory Boards: Research Results**

In collaboration with the NGO "Women on Boards Ukraine," Deloitte Ukraine presented the results of a research on gender diversity and inclusion in the supervisory boards of Ukrainian companies and institutions. The research focuses on the importance of gender diversity as one of the key components of effective governance.

In light of the shortage of qualified personnel—particularly at the executive level—in the labor market, the urgency to attract talent with diverse backgrounds and experiences is growing. Ukrainian society needs to become more open to diversity and actively foster inclusion. Although women represent a vital part of human capital, their creativity, intellect, and leadership potential remain largely underutilized.

The research aims to raise awareness among business leaders and public officials about the role of women on supervisory boards as key contributors to economic progress, and to encourage positive changes in their representation and active participation in corporate governance.

The research involved 66 members of supervisory boards—both local and international—representing 54 unique Ukrainian private and state-owned companies, NGOs, and public institutions. Both qualitative and quantitative methods were used to prepare the report, including a digital survey and interviews.

**What Role Does Gender Diversity Play on Supervisory Boards?**

The vast majority of respondents—95% of women and 92% of men—believe that gender diversity has a positive impact on the effectiveness of supervisory boards. This aligns with global trends: diverse leadership bodies tend to make more balanced decisions, foster innovation, and help minimize risks.

Nevertheless, women remain underrepresented at the strategic leadership level. Of 316 supervisory board positions across 54 surveyed organizations, 96 are held by women. While 87% of companies have at least one woman on their supervisory board—indicating positive, though still limited, progress—this remains insufficient to achieve meaningful gender balance. Almost half of the organizations represented in the survey are the companies with 1000 or more employees. These are largely representatives of the banking sector, state-owned enterprises. These organizations tend to show greater interest in DEI, largely due to their active collaboration with international partners in recent years, who have increasingly prioritized this matter. Despite being underrepresented, women report feeling like equal participants in board work. Both men and women recognize that women make a significant and positive contribution to board performance.

**Workplace Discrimination: How Serious Is the Problem?**

Despite a strong sense of belonging, 86% of women and 70% of men reported either witnessing or personally experiencing workplace discrimination. However, most are reluctant to openly acknowledge this issue.

The common manifestations of discrimination include:

- Gender pay gap
- Scheduling work meetings outside of working hours
- Verbal abuse and sexist jokes
- Accusations of excessive emotionality or devaluation of emotions
- Demonstration of gender bias and decision-making based on it

These issues pose a direct threat to business: 32% of women confidently stated they would leave a company if they experienced discrimination. This creates a significant risk for organizations that fail to address or prevent such issues. 

“Diversity in corporate leadership is a crucial driver in business development and the country's economic recovery. 

We begin our analysis with researching inclusivity issues regarding women's leadership as the most visible but still underrepresented group in the workforce. We are already noticing that Ukrainian businesses are not paying sufficient attention to the issue of inclusiveness. Thus, the results of our study are significant for understanding the readiness to involve diverse groups of employees in the workforce — a crucial factor for Ukraine's recovery.

Increasing diversity in leadership not only improves organizational performance but also fosters a more equitable and inclusive environment for all employees. Team diversity is more than a matter of social responsibility—it is a strategic advantage that enables more informed, balanced, and effective decision-making,” – Olena Boichenko, Partner at Deloitte Ukraine.

**Are Companies Doing Enough to Combat Discrimination?**

Despite widespread support for gender equality, most companies lack a systemic approach to tackling discrimination. Instead, they tend to implement isolated initiatives. For example, 56% of companies have introduced remote or hybrid work models to support flexibility, and 38% offer training on Diversity, Equity, and Inclusion (DEI).

However, critical mechanisms remain weak or entirely absent. Only 24% of companies have established clear anti-discrimination policies, 29% collect data on gender representation, and just 15% evaluate gender pay gaps.

The most pressing issue remains the lack of effective sanctions for discriminatory behavior—many companies simply overlook the problem.

“Inclusive leadership is no longer just a trend—it’s a vital factor that determines a company's success and resilience in today's business environment. Appointing women to strategic leadership roles brings diverse talents from different sectors and fosters a rich environment for making thoughtful, well-rounded decisions. When leadership teams combine different perspectives and experiences, organizations become more adaptable to rapidly changing market conditions, reduce risks related to biased decisions, and become more innovation-ready. This enables companies not only to remain resilient during global changes but also to actively contribute to long-term economic growth and development,”– Olena Malynska, Co-founder of Women on Boards Ukraine.

**Diverse Leadership as a Strategic Focus**

Despite the challenges, there are signs of progress: 54% of women and 65% of men believe that DEI (Diversity, Equity, and Inclusion) issues in Ukraine have advanced over the past three years.

Still, for these changes to become systemic, companies must move beyond one-off efforts and adopt comprehensive, long-term approaches. This includes implementing clear policies, conducting training, collecting and analyzing data, and creating responsive mechanisms to address discrimination.

Only then can a truly inclusive environment be built—one where everyone has equal opportunities for professional growth.

Increasing gender equality on supervisory boards is not just a matter of social justice; it is the cornerstone of sustainable development, innovation, and the long-term competitiveness of Ukrainian companies. In the context of the country's recovery, inclusive corporate governance is no longer optional—it is essential.

Deloitte Ukraine спільно з ГО Women on Boards Ukraine презентували результати дослідження гендерної різноманітності та інклюзивності у наглядових радах українських компаній та установ. Дослідження фокусується на важливості гендерної різноманітності як одного з факторів ефективного управління.

Враховуючи дефіцит кваліфікованого персоналу на ринку праці, зокрема на керівному рівні, залучення талановитих фахівців із різноманітним досвідом та професійним бекграундом стає дедалі актуальнішим. Українське суспільство потребує більшої відкритості до різноманіття та інклюзивності. Потенціал жінок як невід’ємної складової людського капіталу, їхні творчі, інтелектуальні та лідерські здібності залишаються значною мірою нереалізованими.

Метою дослідження є підвищення обізнаності бізнес-лідерів та посадовців щодо ролі жінок у наглядових радах як чинника економічного розвитку, а також сприяння позитивним змінам у представленості та залученості жінок до корпоративного управління.

У дослідженні взяли участь 66 членів та членкинь наглядових рад, як локальних, так і іноземних, які представляють 54 унікальні українські приватні та державні компанії, громадські організації й державні установи. Для підготовки звіту використовувалися якісні й кількісні методи збору даних: цифрове опитування та інтерв’ю.

**Яку роль відіграє гендерна різноманітність у наглядових радах?**

Переважна більшість опитаних — 95% жінок і 92% чоловіків — вважають, що гендерна різноманітність позитивно впливає на ефективність роботи наглядових рад. Це підтверджує світову тенденцію: різноманітні за складом управлінські органи ухвалюють більш зважені рішення, сприяють інноваціям і допомагають мінімізувати ризики.
Попри це жінки досі недостатньо представлені на рівні стратегічного керівництва. Серед 316 місць наглядових рад у 54-х опитаних нами організаціях, 96 обіймають жінки. При цьому 87% компаній уже мають хоча б одну жінку в наглядовій раді, що свідчить про позитивну динаміку, хоча й недостатню для досягнення належної гендерної збалансованості. Майже половина організацій, представлених у дослідженні,— компанії з 1000 і більше співробітників. Це значною мірою представники банківського сектору, державних підприємств. Ці організації, як правило, виявляють більший інтерес до теми інклюзивності та різноманіття, зокрема завдяки активній співпраці з міжнародними партнерами в останні роки, які приділяють цьому питанню значну увагу. 

Попри недостатню представленість, жінки почуваються рівноправними учасницями роботи наглядових рад. І чоловіки, і жінки визнають, що внесок жінок у роботу рад є значним і позитивним.

**Дискримінація на робочому місці: наскільки серйозною є проблема?**

Незважаючи на високе відчуття приналежності, 86% жінок і 70% чоловіків були свідками чи особисто стикались із проявами дискримінації на робочому місці. Водночас більшість із них не готові прямо визнавати цей досвід.

До поширених проявів дискримінації належать:

- гендерний розрив в оплаті праці; 
- призначення робочих зустрічей поза робочими годинами;
- вербальні образи та сексистські жарти
- звинувачення в надмірній емоційності або знецінення емоцій
- демонстрація гендерних упереджень та прийняття рішень на їх основі

Ці тенденції мають пряму загрозу для бізнесу: 32% жінок упевнено заявляють, що готові звільнитися з компанії, якщо стикатимуться з дискримінацією. Це створює значний ризик для організацій, які не вирішують цю проблему та не запобігають її проявам.

«Різноманіття у корпоративному лідерстві є важливим чинником для розвитку бізнесу та відновлення економіки країни. 

Ми починаємо наш аналіз з вивчення питань інклюзивності щодо жіночого лідерства як найбільш видимої групи робочої сили, що залишається недостатньо представленою. І вже зараз ми спостерігаємо, що питанню інклюзивності не приділяється належної уваги в українських бізнесах. Відповідно, висновки нашого дослідження є важливими з точки зору готовності залучати різні категорії працівників до робочої сили, що є необхідною умовою для відновлення України. 

Збільшення різноманіття на керівних посадах не лише сприяє кращим результатам у роботі організацій, а й допомагає створити більш рівноправне та інклюзивне середовище для усіх співробітників. Різноманітність у команді — це не лише соціальна відповідальність, а й стратегічна перевага, яка дозволяє приймати більш обґрунтовані та ефективні рішення"

**Чи достатньо компанії роблять для протидії дискримінації?**

Хоча більшість компаній декларують підтримку рівності, системні механізми запобігання та реагування на дискримінацію у них переважно відсутні. Здебільшого організації впроваджують окремі ініціативи, наприклад 56% компаній пропонують дистанційний або гібридний формат роботи, що сприяє гнучкості, а 38% проводять тренінги з різноманіття, рівності та інклюзивності (DEI).

А втім, критично важливі механізми залишаються слабкими або взагалі відсутні в компаніях. Лише 24% компаній мають чіткі політики щодо реагування на випадки дискримінації, 29% збирають аналітику щодо гендерної представленості, а 15% оцінюють гендерний розрив в оплаті праці.

Найбільшою проблемою залишається відсутність дієвих санкцій за дискримінацію — у більшості випадків компанії просто ігнорують проблему.

«Інклюзивне керівництво сьогодні є не просто трендом, а важливим фактором, що визначає успіх і стійкість компаній у сучасному бізнес-середовищі. Збільшення представленості жінок у стратегічних ролях на керівних посадах не тільки сприяє залученню талантів з різних сфер, але й створює багатогранне середовище для прийняття більш обґрунтованих і зважених рішень. Коли в управлінських командах поєднуються різні погляди і досвід, організації стають більш адаптивними до швидко мінливих умов ринку, знижують ризики, пов’язані з однобокістю в прийнятті рішень, і стають більш готовими до інновацій, які визначають їхню конкурентоспроможність. Це дозволяє компаніям не лише зберігати свою стійкість в умовах глобальних змін, а й активно сприяти економічному зростанню та розвитку у довгостроковій перспективі», - Олена Малинська, співзасновниця Women on Boards Ukraine.

**Різноманітність лідерства як стратегічний фокус**

Попри всі виклики, є позитивні зрушення: 54% жінок і 65% чоловіків вважають, що за останні три роки спостерігається значний прогрес у питаннях DEI (різноманіття, рівності та інклюзивності) в Україні.

Однак, щоб ці зрушення стали системними, необхідно перейти від точкових ініціатив до комплексної трансформації підходів. Компаніям варто впроваджувати чіткі політики, проводити навчання, аналізувати дані та запроваджувати механізми реагування на дискримінацію. Лише у такий спосіб можливо побудувати справді інклюзивне середовище, де кожен і кожна мають рівні можливості для професійного зростання.
Посилення гендерної рівності в наглядових радах — це не лише питання соціальної справедливості, а й фундамент для довгострокового та сталого розвитку, інновацій і конкурентоспроможності українських компаній. У контексті відбудови країни інклюзивне корпоративне управління стає не опцією, а необхідністю.

In many industries, women are still expected to prove themselves over and over again. They deliver results, work tirelessly, and yet often remain unseen when it comes to leadership opportunities. But what if the key to career success isn’t just hard work — it’s visibility?

Personal branding isn’t just for influencers or executives. It’s a powerful tool that allows women to showcase their expertise, establish authority, and open doors that might otherwise remain closed. By stepping into the spotlight, sharing their achievements, and strategically building connections, women can redefine success on their own terms.

To explore this crucial topic, we’ve gathered insights from three amazing leaders.

Together, they share their perspectives on how women can harness personal branding to gain recognition, influence, and opportunities.

When it comes to building a personal brand in professional life, I believe the best approach is to “walk the talk.” In other words, start by communicating your key actions and explaining the value and impact behind them. This approach positions you as a confident professional - someone who is transparent and unafraid to be seen and heard. It's important to remember that a personal brand is a tool for showcasing what you are truly passionate about. You can't build it without a genuine interest in what you do; otherwise, it becomes nothing more than a fancy wrapping with no real essence.

As for establishing authority, it begins with expertise and a solid professional reputation. Authority is built on consistent, high-quality work and deep industry knowledge. Skills and expertise form the foundation of trust, and with trust comes responsibility and respect. A strong personal brand, in turn, helps you gain social capital - opening doors and creating new opportunities.


I consider myself lucky. In consulting, I never felt like I had to “fight for my place” just because I’m a woman. But I know that for many, the path has been very different. In corporate finance, international business, and investment, women have often had to prove their expertise ten times more than men.
Part of this comes down to industry norms. In Ukraine, consulting isn’t seen as a strictly male-dominated field. But in many Western countries, business culture remains far more closed. If we want to change that, women can’t just adapt to the system — **they need to set their own rules.**

Building a personal brand requires a multifaceted approach. Women should actively seek challenging assignments that stretch their capabilities, thereby accumulating “experience capital” — the practical knowledge and skills gained through on-the-job experiences. Engaging in thought leadership activities, such as public speaking engagements, publishing articles, and participating in industry panels, enhances visibility and credibility. Authenticity is paramount; aligning one’s personal values with professional endeavors fosters trust and reinforces authority. In the context of Ukraine, initiatives promoting women’s leadership and entrepreneurship are gaining momentum, providing platforms for women to showcase their expertise and contribute to economic development.

- **The ability to think strategically.** Early in your career, it’s easy to get caught up in operational tasks, leaving little time or energy to think about the bigger picture. However, it’s crucial to always have a higher goal - a strategic vision - and understand how your daily work contributes to moving forward.
- **The ability to pivot.** Sometimes, we cling too tightly to a predefined plan, even when it no longer serves us. But the ability to adapt - turning the tables when necessary - can help you grow faster and more effectively. Speaking from experience, I was a successful lawyer, but when the full-scale war started, I realized I could apply my legal expertise and experience in civil service, just when my country needed me the most. I made a pivot into something entirely new, and so far, it has proven to be the right decision.
- **Being a people person.** No matter where you work, you work with people. Building strong relationships - with colleagues, managers, and business partners - lays the foundation for career growth. When there’s trust and mutual respect, you’re more likely to be heard when presenting ideas and recognized for your contributions. In the end, career success is often not just about what you know but also about the relationships you build along the way.


Competence is essential, but expertise alone isn’t enough — you need to showcase it.
Many women wait until they feel “100% ready” before putting themselves out there, while men often take action immediately. But confidence isn’t something you wait for — it’s something you build through action.
Here’s how to establish your presence:
- **Be visible.** Write articles, speak at events, and share your experiences—even if you don’t feel like an expert yet. 
- **Position yourself as a thought leader.** Share insights, offer solutions, and engage in meaningful conversations within your industry.
- **Leverage social media.** A strong online presence can help amplify your voice and attract opportunities.
_Visibility builds credibility._

Career advancement is a result of strategic actions and continuous personal development. Consider these strategies for growth:
- **Build a strong network:** Cultivate relationships with mentors who offer guidance and sponsors who open doors to new opportunities.
- **Embrace lifelong learning:** Continuously acquire new skills and stay updated on industry trends to remain competitive.
- **Master organizational dynamics:** Understand and navigate workplace politics to position yourself for success.
- **Be resilient:** In Ukraine, women have demonstrated remarkable resilience, stepping into leadership roles in sectors like the military and creative industries, driving innovation and societal progress.

- ****Resilience.**** Leadership comes with challenges, and setbacks are inevitable. The ability to bounce back, keep a clear head, and move forward despite difficulties is what sets strong leaders apart. Women in leadership often face additional scrutiny, so resilience is key to staying focused and confident.
- ****Ability to see potential in others.**** One of the pillars of being a successful leader is knowing how to delegate responsibilities. This not only frees up time for more strategic work but also empowers the people around you, giving them a sense of ownership and room to grow. When you recognize the potential in your team, you create a strong, motivated group that works with you - not just for you.
- **Decisiveness.** Making decisions is one of the biggest leverages but also burdens that come with leadership. A leader who hesitates too much risks losing momentum. It’s not about always being right but about taking responsibility, making informed choices, and standing by them. The ability to act with confidence - even in uncertainty - is what keeps things moving forward.

Women in leadership often face a double standard: if they’re assertive, they’re labeled “too aggressive”; if they’re diplomatic, they’re seen as “too soft.”
True leadership isn’t about meeting others’ expectations — it’s about leading on your own terms.
Essential leadership skills include:
- **Adaptability.** The ability to pivot and thrive in changing environments is crucial.
- **Decisiveness.** Confidence in decision-making earns respect and trust.
- **Resilience.** Setbacks are inevitable, but persistence is what defines successful leaders.

Successful leadership requires a unique combination of technical proficiency and interpersonal skills. Emotional intelligence is vital —it allows leaders to connect with their teams on a deeper level, creating an environment of trust and collaboration. Equally important is resilience, particularly in the face of obstacles. Leaders who can navigate setbacks with grace and determination are the ones who achieve long-term success. Coupled with strategic thinking and decisive action, these qualities ensure leaders can guide their teams through uncertainty. In Ukraine, initiatives to boost female representation in leadership roles are gaining traction, as the country recognizes that women’s distinct perspectives and problem-solving abilities are critical not only for organizational success but for societal progress as well.

_For too long, women have been expected to prove their worth repeatedly, often excelling behind the scenes without receiving due recognition. But the reality is that success isn’t just about competence — it’s about visibility. Personal branding offers women the opportunity to take control of their narratives, showcase their expertise, and open doors that might otherwise remain closed._

_Building a strong personal brand isn’t about self-promotion for its own sake — it’s about strategically positioning oneself as a leader, a thinker, and a changemaker. Whether through thought leadership, networking, or embracing opportunities for visibility, women can shift the paradigm and redefine leadership on their own terms._

_**The future belongs to those who dare to be seen.** By stepping into the spotlight with confidence, women can claim their space at the table — not by waiting for permission, but by demonstrating their value and making their voices heard._

In the United States, the Trump administration is reversing course, deprioritizing climate initiatives and favoring fossil fuel expansion. Meanwhile, the new European Commission, despite its stronger focus on competitiveness, continues to view sustainability as a key pillar of economic strategy.
This divergence raises an important question: Is sustainability just a political trend, or is it an enduring value shaping business and society? For those of us sitting on corporate boards in Ukraine and Europe, understanding this shift is critical for making informed decisions in a rapidly evolving global landscape.

******The future of DEI: To Be or Not to Be? The Answer is Clear******

Over the past decade, Diversity, Equity, and Inclusion (DEI) has become increasingly central to corporate governance across America and Europe. Companies recognize that diverse teams enhance innovation, decision-making, and business resilience. However, recent political shifts are significantly impacting DEI initiatives.
 
In the United States, the Trump administration has intensified its opposition to DEI policies. On February 27, the U.S. Department of Education launched the "End DEI" portal, allowing citizens to report diversity, equity, and inclusion programs in public schools. This move has raised concerns among educators and human rights advocates, who fear it may limit support for marginalized groups.
 
Corporate America is also undergoing changes. Disney recently announced adjustments to its DEI policies, removing diversity and inclusion as a formal performance metric. The decision followed new federal restrictions on DEI programs imposed by the Trump administration. Meanwhile, Citigroup has dropped its requirement for diverse candidate pools in hiring, and Goldman Sachs has relaxed its diversity-based IPO board requirements. Many America-based companies or branches of global firms in the US announced that they stop DEI programs. 
In Europe, gender equity remains a primary focus of DEI efforts. Women now hold over 43% of FTSE 100 board positions, surpassing EU targets. However, challenges persist, particularly in executive roles, where gender biases and inadequate parental leave policies continue to hinder progress. Additionally, the war in Ukraine has introduced new inclusion challenges, including integrating displaced professionals into European labor markets and ensuring equitable opportunities for refugees.
 
Looking ahead, the future of DEI in corporate governance seems to be uncertain in the US, but I expect Europe to stay firmly on this path. Even in the US, advocacy groups, institutional investors, and younger employees may continue to demand meaningful diversity commitments, ensuring that DEI keeps a certain place in corporate focus.
 
Despite all turbulence, we at Women on Boards Ukraine firmly believe in the value of diversity in general and for boards in particular when applied thoughtfully and grounded in professional merit. While DEI has led to significant progress, we have also witnessed flawed implementations, particularly in the U.S., resulting in backlash and reversals. This underscores the need for a strategic and balanced approach. We are certain that the current turbulence will balance the topic, and it will remain important and bring real value to organizations. As Ukraine embarks on its DEI journey in the midst of post-war reconstruction, it is crucial to learn from global experiences and adopt a sustainable, merit-based diversity strategy—one that fosters resilience, innovation, and equitable opportunities for all.

******Regulatory Changes and Standards on the Move in Ukraine******

As part of the EU Association Agreement, Ukraine is implementing European standards, particularly in accounting and auditing. On October 18, 2024, the Cabinet of Ministers of Ukraine approved the Strategy for the Implementation of Sustainability Reporting by Enterprises—an essential step toward EU membership. 
  

The EU has introduced mandatory sustainability reporting through Directive (EU) 2022/2464 (CSRD) and Regulation (EU) 2023/2772. These regulations require large enterprises to disclose their environmental and social impact. Ukraine is adopting the European Sustainability Reporting Standards (ESRS), aiming to:

Establish a legal framework.
Enhance risk assessment for businesses and investors.
Improve government access to sustainability data.
Increase Ukrainian enterprises’ participation in international capital markets by 50% by 2030.
 
Ukraine’s adoption of EU sustainability standards is more than compliance—it’s a strategic step toward global integration. By enhancing transparency and investor confidence, businesses are positioning themselves for growth in international markets. 


******Environmental Risks and the Financial Sector: Navigating Uncertainty in a Changing Landscape ******

Banks carefully analyze the environmental responsibility of companies across various sectors, from manufacturing to retail. This includes assessing their environmental impact, energy efficiency, and waste management practices.
 
Ukraine has an environmental security strategy in place until 2030. However, the lack of specific regulations creates challenges for banks. Without legislative norms that define risks and impose sanctions for non-compliance, financial institutions are forced to develop their own approaches to assessing climate risks.
 
Banks identify four main groups of risks. Political and legal risks include CO2 emission taxes, reporting requirements, and potential fines. Technological risks stem from investments in new green technologies, which may quickly become obsolete due to regulatory changes. Market risks are related to demand for environmentally friendly products, while reputational risks arise from potential losses due to negative public perception of a company.
 
Environmental risk management must be embedded at the strategic level—within Supervisory Boards. However, there is currently an imbalance: managers possess practical knowledge but lack strategic vision, while Supervisory Board members often lack specialized knowledge of climate risks. As a result, 85% of independent directors globally acknowledge the need to enhance their expertise in ESG matters.

Ukrainian companies are gradually aligning with international standards. Many are integrating sustainability principles, especially those that attract funding from major banks or operate in global markets. The existing experience and potential allow Ukraine to more actively implement effective climate risk management strategies.

******Harnessing Technology and Innovation for Sustainability******

In my extensive experience as a management consultant, I have witnessed firsthand the transformative power of technology in driving sustainability.

The rise of Artificial Intelligence and Machine Learning is revolutionizing resource management, allowing organizations to optimize operations and significantly reduce waste. However, it is essential that we adhere to Responsible AI principles, ensuring that our deployment of these technologies is grounded in ethical governance, transparency, and accountability.

Advancements in renewable energy technologies, such as solar and wind, are paving the way for a low-carbon economy. I am particularly excited about the momentum behind the circular economy, which promotes innovative solutions for recycling and resource sharing. Precision agriculture technologies also stand out to me, as they enhance crop yields while conserving vital resources, showcasing the potential of technology to address pressing global challenges.

Moreover, carbon capture and storage technologies are crucial in our fight against climate change, and sustainable transportation solutions, including electric vehicles and shared mobility, are reshaping urban landscapes. The role of blockchain in enhancing supply chain transparency cannot be overlooked, as it ensures ethical sourcing and accountability.

In my opinion, board members have a pivotal role to play in championing these innovations. It is the Board’s responsibility to foster a culture of sustainability that aligns with ESG principles and to establish frameworks that govern the ethical use of AI. By prioritizing Responsible AI and embracing these trends, Boards can drive meaningful change and position organizations as leaders in the quest for a sustainable future.

******Sustainability at a Crossroads: Why the US and EU Are Taking Diverging Paths******

****The US Retreat from Sustainability****

Under President Trump’s renewed leadership, the US is shifting away from the sustainability, diversity and overall ESG-driven policies that gained momentum in recent years. Key actions include the withdrawal from the Paris Agreement, the declaration of a national energy emergency to accelerate fossil fuel projects, a ban on subsidies for solar and wind,  and the rollback of environmental justice initiatives such as Justice40, not to mention the current freeze on the grants via federal agencies and USAID. The administration’s focus is clear: strengthening the US trade position, prioritizing economic development, traditional energy sources, and short-term economic gains over long-term environmental and social considerations.

****Europe’s Commitment to Sustainability****

In contrast, the European Commission continues integrating sustainability into its economic model. The recently announced Clean Industrial Deal commits €100 billion to clean manufacturing and energy efficiency. At the same time, efforts to simplify sustainability reporting rules aim to reduce administrative burdens for businesses. Despite a stronger focus on economic viability, the EU remains committed to legally binding climate neutrality targets for 2050.

Unlike the US, Europe lacks domestic fossil fuel reserves, making renewable energy a necessity rather than a choice of pure politics. Moreover, sustainability is not just a regulatory requirement but a reflection of European values—ensuring clean air, responsible business practices, and fair labor conditions.
 
****The Fundamental Divide: Energy Resources vs. Societal Values****

The key difference between the US and Europe is how they define competitiveness. The US leverages its domestic oil and gas resources to drive short-term economic growth, while Europe views sustainability as essential for long-term resilience. European policies reflect societal expectations—whether from voters, businesses, or investors—who see ESG as a core part of economic stability and energy security.

Ukraine, positioned between these two economic powers, must navigate this divergence carefully. The US and the EU remain crucial partners, but their differing approaches to sustainability create a complex decision-making landscape. In some cases, adhering to sustainability means our ability to get funding from the EU. Still, it has also been proven as a new way to secure the supply of energy, which could be restored quickly. The public initially scrutinized U.S. interest in Ukraine’s mineral deal with criticism, but the final version offered some hope for more FDI coming to Ukraine. That is important for the S and G points of ESG.  

****Advice for Board Members: Balancing Transatlantic Priorities****

For corporate leaders in Ukraine and the EU, the shifting transatlantic stance on sustainability presents risks and opportunities. While ESG may seem politically less relevant in the US, sustainability remains a long-term societal value. People everywhere—whether in Ukraine, France, Belgium, or the US—want clean air, fair labor conditions, and a healthy environment.

Political cycles change, but these fundamental expectations persist. As a post-war economy, Ukraine will naturally prioritize economic recovery, but that does not mean abandoning sustainability. When sustainable choices also enhance competitiveness—such as investing in renewables or responsible business practices—they must be pursued. Businesses' long-term resilience depends on integrating economic and sustainability considerations, regardless of shifting political priorities.
 
The current transatlantic divide on sustainability should not be seen as a reason to abandon it but as a reminder that economic, environmental, social, and governance interests are deeply connected. Europe views sustainability as a strategic advantage, while the US focuses on short-term economic priorities. For Ukraine, the best course of action is to remain flexible—prioritizing growth while recognizing that sustainability is not just a policy trend but an enduring value that shapes societies and economies.

******Conclusion: A New Agenda – Balancing Economic Interests and Long-Term Value******

Global trends in DEI and sustainable development are no longer a matter of choice—they have become a battleground for strategic conflicts between short-term economic priorities and long-term societal resilience.

In the U.S., corporate governance is increasingly shifting back towards an "efficiency economy" model, while Europe continues to integrate ESG principles, ensuring sustainability through responsible resource consumption and inclusive business practices. Ukraine, positioned between these two models, faces a critical choice that will determine not only investment flows but also the long-term competitiveness of its companies.

******Are We Still Catching Up with Europe, or Charting Our Own Path?******

While Ukraine debates the necessity of introducing gender quotas in governing bodies, Europe has already embraced them as the norm, while the U.S. is shifting its focus towards evaluating their effectiveness and exploring alternative mechanisms. 
So, what should we choose: following Europe's lead or developing our own model? Are we lagging so far behind that even progressive changes risk becoming outdated before they take effect?

Today, our task is not just to meet the formal requirements of European directives but to create truly effective mechanisms that ensure equal opportunities for all, regardless of gender. Two new legislative initiatives—Draft Laws No. 12198 and No. 12376—aim to reshape governance structures to ensure greater gender equality. But will they become instruments of real change or just another set of regulatory norms?

******Gender Quotas: A Tool for Transparency and Fairness******

Ukraine follows the European "comply or explain" approach. This principle is enshrined in Directive (EU) 2022/2381, which requires companies that have not reached the 40% quota to disclose their selection procedures and criteria, ensuring transparency.
 
Draft Law No. 12376 also aims at ensuring fairness by establishing that candidate selection processes must be based on clear, non-discriminatory criteria. If two candidates have equal qualifications, preference is given to the underrepresented gender, except in cases where other mandatory diversity policies take precedence.
 
I also welcome the proposed transparency rules in both draft laws, particularly the requirement for public joint-stock companies to report annually on the gender balance among their executives to the National Securities and Stock Market Commission. This information should be publicly available on their websites.
 
In my opinion, introducing gender quotas, even as a form of soft regulation, combined with active implementation of ESG principles by companies, will help normalize gender balance and create significantly better opportunities for women to hold leadership positions.

******A Necessary Step Toward Effective Governance******

Supervisory boards, as key decision-making bodies, must reflect the true balance of power and act as catalysts for change. Therefore, it is crucial that representation in supervisory boards is balanced, especially in large state corporations and organizations.

Today, we are witnessing a paradigm s Congress, where it was emphasized that modern effective governance is impossible without the inclusion of women in decision-making processes.
 
Draft Law No. 12198, which I co-authored, is aimed precisely at this—creating a legal framework to ensure equal representation in governing bodies.

This draft law enhances existing legislation to ensure equal rights and opportunities for both genders in supervisory boards and management bodies of state enterprises, companies with more than 50% state ownership, state banks, and municipal enterprises. It introduces temporary gender quotas requiring minimum representation of one gender in these positions. For state enterprises, the quota is set at 40%, while private joint-stock companies determine their quotas independently.
 
Similar initiatives have already proven their effectiveness. Gender quotas in electoral lists, which my colleagues and I advocated for and which were legally enacted, have yielded real results. In the 2020 local elections, women secured 37% of all seats in councils at various levels. This is an undeniable success!

Establishing gender balance in governance not only aligns with our European commitments and transparency standards but also fosters the development of a fairer society. Women don’t need privileges—they need equal opportunities to reach their full potential. Quotas are a temporary yet effective tool that helps create new opportunities where they have traditionally been limited.

******Legislative Proposals on Gender Quotas in Governing Bodies******

Currently, Ukraine lacks mandatory legislation establishing gender quotas on boards of directors. This document outlines the existing gender equality and quota regulations in Ukraine and Europe, along with a brief overview of two draft laws recently registered in the Verkhovna Rada of Ukraine.
 
**European Experience**
Directive (EU) 2022/2381 (“Women on Boards”) requires large EU companies (with over 250 employees and an annual revenue exceeding €50 million) to ensure a minimum of 40% representation of the underrepresented gender in supervisory boards by 2026. Member states may impose sanctions for non-compliance.
 
**Current Ukrainian Legislation**
The Law "On Ensuring Equal Rights and Opportunities for Women and Men" (2005) allows for positive actions to address gender imbalances. The National Securities Commission recommends 40% gender representation on boards of directors, but this is not mandatory. This has formed the foundation for new legislative initiatives.

**New Legislative Initiatives**
 
Draft Law No. 12198 (November 13, 2024)
 
Introduces temporary gender quotas for:
- State enterprises – 40%
- Private companies with state ownership – quotas set independently
 
Implementation phases:
- By 2026 – 20%
- By 2030 – 40% (thereafter, preference is given to the underrepresented gender)
- From 2031 – companies determine their own quotas
Allows joint-stock companies to set and adjust quotas at general meetings.
 

Draft Law No. 12376 (January 6, 2025)

Establishes quotas for public joint-stock companies:
- Single-tier governance structure – at least 30% of the board of directors
- Two-tier governance structure – 40% in supervisory boards or executive bodies
Quotas apply to companies with over 250 employees, more than €50 million in revenue, or assets exceeding €43 million. Violations may lead to court challenges of board decisions.
 

Effective Dates:
- From 2026
- Stock market – 1 year for adaptation
- Public joint-stock companies – 3 years
Both draft laws aim to implement gender balance in Ukraine’s governing bodies in accordance with European standards.

******Gender Quotas – Real Change or a Symbolic Step?******
Gender equality in governance is no longer just a trend—it is becoming a fundamental standard in modern business. Ukraine has the opportunity not just to catch up with Europe but to create an effective corporate governance system that incorporates the best global practices while considering its own realities.

The key question is whether these initiatives will work in practice. Implementing quotas without control mechanisms and real incentives for businesses may turn into a mere formality. However, if companies recognize the advantages of gender balance not as an obligation but as an economic driver, this could be a true breakthrough.

We no longer have time to just catch up—it’s time to set our own standards and lead the way. But are Ukrainian companies ready for this? The answer depends not only on legislation but also on the business community, which must see this as an opportunity rather than an obligation.

******Ми все ще наздоганяємо Європу чи прокладаємо власний шлях?******

Поки в Україні дискутують про необхідність запровадження гендерних квот в органах влади, Європа вже сприйняла їх як норму, а США зміщують увагу на оцінку їх ефективності та пошук альтернативних механізмів.
Отже, що нам вибрати: слідувати прикладу Європи чи розвивати власну модель? Невже ми настільки відстаємо, що навіть прогресивні зміни ризикують застаріти, не набувши чинності?

Сьогодні наше завдання — не просто відповідати формальним вимогам європейських директив, а створити справді дієві механізми, які забезпечують рівні можливості для всіх, незалежно від статі. Дві нові законодавчі ініціативи — законопроекти № 12198 та № 12376 — мають на меті змінити структуру управління для забезпечення більшої гендерної рівності. Але чи стануть вони інструментами реальних змін чи ще одним набором регулятивних норм?

******Гендерні квоти: інструмент для прозорості та справедливості******

Україна дотримується європейського підходу «виконуй або пояснюй». Цей принцип закріплено в Директиві (ЄС) 2022/2381, яка вимагає від компаній, які не досягли 40% квоти, розкривати свої процедури та критерії відбору, забезпечуючи прозорість.

Законопроект № 12376 також спрямований на забезпечення справедливості, встановлюючи, що процеси відбору кандидатів повинні базуватися на чітких недискримінаційних критеріях. Якщо два кандидати мають однакову кваліфікацію, перевага надається недостатньо представленій статі, за винятком випадків, коли пріоритет мають інші обов’язкові політики різноманітності.

Я також вітаю запропоновані правила прозорості в обох законопроектах, зокрема вимогу до публічних акціонерних товариств щорічно звітувати про гендерний баланс серед своїх керівників Національній комісії з цінних паперів та фондового ринку. Ця інформація має бути загальнодоступною на їхніх веб-сайтах.

На мою думку, запровадження гендерних квот, навіть як форма м’якого регулювання, у поєднанні з активним впровадженням компаніями принципів ESG допоможе нормалізувати гендерний баланс і створить значно кращі можливості для жінок на керівних посадах.

******Необхідний крок до ефективного управління******

Наглядові ради, як основні органи прийняття рішень, мають відображати справжній баланс сил і виступати каталізаторами змін. Тому вкрай важливо, щоб представництво в наглядових радах було збалансованим, особливо у великих державних корпораціях та організаціях.

Сьогодні ми є свідками конгресу парадигми, де було наголошено, що сучасне ефективне управління неможливе без залучення жінок до процесів прийняття рішень.

Законопроект №12198, співавтором якого є я, спрямований саме на це — створення правової бази для забезпечення рівного представництва в органах влади.

Законопроект удосконалює чинне законодавство щодо забезпечення рівних прав та можливостей для обох статей у наглядових радах та органах управління державних підприємств, компаній з більш ніж 50% державної власності, державних банків та комунальних підприємств. Він запроваджує тимчасові гендерні квоти, які вимагають мінімального представництва однієї статі на цих посадах. Для державних підприємств квота встановлюється у розмірі 40%, а приватні акціонерні товариства визначають свої квоти самостійно.

Подібні ініціативи вже довели свою ефективність. Гендерні квоти у виборчих списках, за які ми з колегами виступали і які були законодавчо закріплені, дали реальні результати. На місцевих виборах 2020 року жінки отримали 37% усіх місць у радах різних рівнів. Це беззаперечний успіх!

Встановлення гендерного балансу в управлінні не тільки відповідає нашим європейським зобов’язанням і стандартам прозорості, але й сприяє розвитку більш справедливого суспільства. Жінкам не потрібні привілеї — їм потрібні рівні можливості, щоб повністю розкрити свій потенціал. Квоти – це тимчасовий, але ефективний інструмент, який допомагає створювати нові можливості там, де вони традиційно були обмежені.

******Законодавчі пропозиції щодо гендерних квот в органах управління******

Наразі в Україні немає обов’язкового законодавства, яке б встановлювало гендерні квоти в радах директорів. Нижче викладено існуюче положення щодо гендерної рівності та квот в Україні та Європі, а також короткий огляд двох законопроектів, нещодавно зареєстрованих у Верховній Раді України.

**Європейський досвід**
Директива (ЄС) 2022/2381 («Жінки в радах») вимагає від великих компаній ЄС (з понад 250 співробітниками та річним доходом, що перевищує 50 мільйонів євро) забезпечити мінімум 40% представництва недостатньо представленої статі в наглядових радах до 2026 року. Держави-члени можуть накласти санкції за невиконання.

**Чинне законодавство України**
Закон «Про забезпечення рівних прав та можливостей жінок і чоловіків» (2005 р.) допускає позитивні дії щодо усунення гендерного дисбалансу. Національна комісія з цінних паперів рекомендує 40% гендерного представництва в радах директорів, але це не є обов’язковим. Це стало підґрунтям для нових законодавчих ініціатив.

**Нові законодавчі ініціативи**

Законопроект № 12198 (13.11.2024)

Вводить тимчасові гендерні квоти для:
- Державні підприємства – 40%
- Приватні компанії з державною формою власності – квоти встановлюються самостійно

Етапи реалізації:
- До 2026 року – 20%
- До 2030 року – 40% (надалі перевага надається менш представленій статі)
- З 2031 року – компанії самі визначають свої квоти.
Дозволяє акціонерним товариствам встановлювати та коригувати квоти на загальних зборах.

Законопроект № 12376 (06.01.2025)

Встановлює квоти для публічних акціонерних товариств:
- Однорівнева структура управління – не менше 30% ради директорів
- Дворівнева структура управління – 40% у наглядових радах або виконавчих органах. 
Квоти поширюються на компанії з понад 250 співробітниками, доходом понад 50 мільйонів євро або активами, що перевищують 43 мільйони євро. Порушення можуть призвести до судового оскарження рішень ради.


Дати набрання чинності:
- З 2026 року
- Фондовий ринок – 1 рік на адаптацію
- Публічні акціонерні товариства – 3 роки.
Обидва законопроекти спрямовані на впровадження гендерного балансу в органах влади України відповідно до європейських стандартів.

******Гендерні квоти – реальні зміни чи символічний крок?******

Ґендерна рівність в управлінні більше не є просто трендом — вона стає фундаментальним стандартом сучасного бізнесу. Україна має можливість не просто наздогнати Європу, але й створити ефективну систему корпоративного управління, яка враховує найкращі світові практики з урахуванням власних реалій.

Ключове питання – чи запрацюють ці ініціативи на практиці. Запровадження квот без механізмів контролю та реальних стимулів для бізнесу може перетворитися на формальність. Однак, якщо компанії визнають переваги гендерного балансу не як обов’язок, а як економічний рушій, це може стати справжнім проривом.

У нас більше немає часу просто наздоганяти — настав час установити власні стандарти та йти вперед. Але чи готові до цього українські компанії? Відповідь залежить не лише від законодавства, а й від бізнес-спільноти, яка має сприймати це як можливість, а не як обов’язок.

January 27, Women on Boards Ukraine had the honor of hosting Dr. Michelle Harrison, Global CEO of Verian and co-founder of the Reykjavík Index for Leadership.  The event was moderated by Olena Malynska, Co-Founder of WoBua.

During this engaging session, Dr. Harrison shared insights from the 2024/2025 Index, a globally recognized benchmark that measures perceptions of gender equality in leadership.

Broader Trends from the Reykjavík Index 2024/2025:

• Persisting Gender Bias in Leadership: The Index reveals that even in G7 countries, women are still often perceived as less suitable for top-level positions. While perceptions vary by sector—healthcare and education showing greater support for women, compared to defense and engineering—an alarming trend of “re-gendering” leadership roles is emerging in some industries.

• Global Polarization and Its Impact: Factors such as economic instability, war, misinformation, and targeted online attacks have contributed to growing polarization. However, counterforces such as the success of women in higher education, visible female role models, and regulatory reforms offer hope for progress.

• Generational Challenges: Contrary to expectations, younger generations in many countries display stronger biases compared to older cohorts, highlighting the complexity of cultural shifts and the influence of modern challenges.

The discussion also explored critical issues:

• Navigating Leadership Amid Crisis: How do women balance career, family, and societal contributions during wartime?

• Future-Proofing Gender Equity: What steps can be taken to protect the confidence and mental well-being of future generations against challenges such as harassment or systemic bias?

• Sustaining Progress in Crisis: How can we prevent regression in gender equality during global upheavals?

While celebrating the increased representation of women in leadership, Dr. Harrison emphasized that progress remains fragile, requiring vigilance and collective effort to sustain momentum.

Під час цієї надзвичайно змістовної зустрічі д-р Гаррісон поділилася ключовими висновками з Індексу 2024/2025 – всесвітньо визнаного показника, що оцінює сприйняття гендерної рівності у сфері лідерства.

Головні тенденції Індексу Рейк’явіка 2024/2025:

• Стійкі гендерні упередження у лідерстві: 
Попри значний прогрес, навіть у країнах G7 жінки все ще часто сприймаються як менш придатні для високих керівних посад. Рівень підтримки жінок у лідерстві суттєво різниться залежно від галузі: у сферах охорони здоров’я та освіти він вищий, тоді як у сфері оборони та інженерії – значно нижчий. Тривожним є тренд «повторної ґендеризації» певних професій.

• Глобальна поляризація та її вплив:  
Економічна нестабільність, війни, дезінформація та цілеспрямовані онлайн-атаки сприяють загостренню суспільних розбіжностей. Водночас є й контрсилові фактори: зростаючий успіх жінок у вищій освіті, видимість жіночих рольових моделей та нормативні зміни, які сприяють гендерній рівності.

•  Виклики для молодого покоління: 
Всупереч очікуванням, молодші покоління в багатьох країнах демонструють сильніші гендерні упередження, ніж старші. Це підкреслює складність культурних трансформацій і вплив сучасних викликів.

Ключові питання дискусії:

•  Лідерство в умовах кризи – Як жінки балансують між кар’єрою, родиною та внеском у суспільство під час воєнного стану?

•  Майбутнє гендерної рівності – Які кроки необхідно зробити, щоб захистити впевненість та ментальне здоров’я наступних поколінь від таких загроз, як харасмент чи системні упередження?

•  Як зберегти досягнутий прогрес? – Що потрібно для того, щоб у часи глобальних потрясінь не допустити відкату назад у боротьбі за рівні можливості?

Попри позитивні зміни, д-р Гаррісон наголосила: поступ залишається вразливим. Збереження досягнутого та подальший рух уперед вимагають постійної уваги, спільних зусиль і солідарності.

The year 2025 opens a new chapter for Ukraine—a journey spanning hope for peace and reconstruction to fears of prolonged conflict and global instability. These perspectives offer not only a snapshot of the year’s stakes but also a blueprint for resilience, leadership, and unity.

In this issue, we asked the members and supporters of Women on Boards Ukraine questions that lie at the heart of our shared s renewal, and a deep understanding of the critical importance of global support.

******Strength:******
I hope for a just and secure peace in Ukraine in 2025.  Ukraine must gain strength on the battlefield, to press the invaders back and have leverage at any negotiation table.  Our allies and partners must recommit themselves to restoring peace and international law by supporting the Ukrainian people fighting this battle.

******Chaos:******
My greatest fear is that the free world will not react appropriately to the global chaos being driven by the “axis of evil” — russia, China, Iran and North Korea.  Disinformation, explosions, murders,  cutting underwater cables, mail meant to blow up airplanes, financing of anti-democratic forces and countries — all are intended to weaken the international world order and destroy our democracies.  By allowing these actions to continue without repercussions, the axis is encouraged to continue and expand these dangerous and destructive practices.  

******Resilience:******
I am preparing for the unpredictability of U.S. economic and foreign policy in the year ahead, as well as its effect on the global economy.  Taken together with the very painful ongoing russian war in Ukraine, building resilience is a key priority.  Resilience in each country, resilience of business, and personal resilience are a must.  Countries need to develop plans to strengthen their local economies, reduce debt, and prepare for currency and other risks.   Businesses need to diversify their supply chains,  reduce manufacturing dependence on a single country, and reduce costs to account for the greater risks.  Personally, resilience means finding a way to do more to strengthen Ukraine’s position — from raising money for key not-for-profit organizations to mentoring and coaching young leaders.  Pairing this important work with self-care is key to avoiding burnout and ensuring longevity of effort and self.

******Peace:******
My biggest hope is that Ukraine will achieve just peace and security for the future and be able to accelerate reconstruction.  Also Georgia, my second home and that of my 3 kids, will resume a path toward Europe and democracy. I see myself and maybe my kids living there again if conditions are right.  

******Brutality:******
⁠My greatest fear for the world is that we will continue to move in a trajectory where ‘might is right’ — whoever is strongest and most brutal takes what they want without any international norms.  

******Reconstruction:******
⁠In the year ahead, I expect to be in Ukraine much of the time and am hoping the IFC can support more and more the reconstruction of Ukraine’s economy.   Also hope that soon I can fly in and out of Kyiv and sleep through the night when I am there!

******Reconstruction:******
My biggest and cautious expectation is that we will see the war end on terms that would allow people to return to Ukraine, plan their future, and start rebuilding.

******Instability:******
My biggest fear is that political instability in key partner countries reflects negatively on overall support for Ukraine — military, financial, and political. I hope key decision-makers there realize how fragile the situation is and continue to prioritize support for Ukraine despite domestic (and international) challenges. 

******Preparedness:******
We try to be prepared for both good and less good scenarios by paying down the debt and keeping liquidity high, keeping costs under control, making only necessary investments into operational efficiency, and motivating the team. If things work out well — we have a strong balance sheet to invest in, if the situation worsens — we are not over-leveraged and hopefully can withstand the storm.

******Stability:******
As we look ahead to 2025, my greatest hope lies in achieving reliable and just peace and security for Ukraine and the entire world. Stability and confidence in the future are essential for growth and development, as well as for addressing critical challenges like restoring climate balance and fostering global opportunities. I hope we will be able to work steadily, fulfill our personal and professional goals, innovate, and pursue our mission of making Ukraine a better place for doing business. These aspirations are at the core of everything we strive for at the EBA and GB4U in 2025.

******Uncertainty:******
Actually, my biggest fear is that all these hopes may not be realized. We live in times of great uncertainty, not only because of the war and its far-reaching consequences but also due to other complex threats, such as the uncontrolled expansion of AI, the non-zero possibility of another pandemic, and the rise of authoritarian and far-right regimes around the world. These challenges remind us of how fragile progress can be, how essential it is to remain agile, and how much we should value the simple yet fundamental things we have in our lives. 

******Agility:******
As we look ahead to the coming year, I am preparing for a period of dynamic activity. There is much work to be done, and I have no doubt that 2025 will keep us on our toes. Despite the challenges, I remain optimistic that by staying focused and united, we can continue to advance our goals and aspirations. The future will definitely demand agility, and those individuals and businesses that can adapt, embrace change, and act fast will thrive in any environment.

******Hope:******
Undoubtedly a just peace for the Ukrainian people so that many of those who had to leave the country will be able to go back to help rebuilding it and seizing the many opportunities the Ukrainian EU approximation offers. At the EBRD, we are determined to support building the economy back better as we have been steadfastly supporting the resilience of the Ukrainian economy in the past 3 years.

******Fear:******
I am very concerned that the ongoing worldwide geopolitical fragmentation will exacerbate in the near future. We see that in our daily jobs across our region, from Ukraine to the Caucasus to the  Middle East. 

******Program:******
We are a growing institution. We keep growing our investments and portfolio in our legacy countries of operation and expanding in new markets in Sub-Saharan Africa. Supporting Ukraine will continue to be our first and utmost priority in 5 areas: energy security, vital infrastructure, food security, private sector resilience, and support to trade.

******Resolution:******
The biggest event for Ukraine — and the world — is how the ongoing wars in Ukraine and Israel will be resolved. Both conflicts heavily depend on the initial steps taken by the new administrations in the US and the EU, as well as the ability of Ukrainian leaders to effectively communicate and cooperate to secure stronger support.

******Radicalism:******
My greatest fear is that the US administration might adopt overly radical or hasty approaches toward the situation in Ukraine. However, I also recognize that the responsibility lies not just with the US but also with Ukraine. If we fail to communicate effectively, build trust, or offer clear and compelling arguments, it may complicate decision-making and lead to less favourable outcomes for all parties involved.
Of course, we must all remain deeply concerned about how Russia may act in 2025. Putin has already crossed most of the red lines, but there are still black lines — such as the use of nuclear or chemical weapons of mass destruction. Our greatest hope is that this fear never becomes reality.
 
******Alignment:******
I am focused on analyzing the new administrations and developing fresh ideas on how to work with them differently. In Ukraine, we want stronger support and deeper understanding from our partners, but that requires us to rethink our messaging and improve how we communicate our needs. We must take responsibility for fostering cooperation while protecting our core values and beliefs and finding creative approaches to build stronger alliances.

******Victory:******
The answer is simple, but difficult to implement — we all hope that the year 2025 will bring victory to our nation and peace to our country. All other hopes are less meaningful when you do not feel safe in your home country — when Ukraine loses its best sons and daughters instead of gathering them around a festive table, when you see the light of the explosion in the heart of Kyiv instead of Christmas lights, when you hear sirens instead of New Year's fireworks, when our children ask Santa Claus to end the war instead of presenting a new toy.

******Fears:******
The greatest fear for 2025 and the years to come is to lose this war and, with it the identity of our nation, the faith of our people and the future of our children.

******Resilience:******
"Hope for the best, but prepare for the worst" — a rather cautious mindset, but it helps if you live in turbulent times and adapt your business and personal plans with wartime in mind. We hope for the best, i.e. we are preparing for the projects on Ukraine's rebuild, green recovery, demining, and investments, as well as projects on compensation of damages caused by Russia's aggression. We prepare for the worst, i.e. we are accumulating our physical and mental health to live in terms of a war of attrition — work even harder to support the economy, our army, our team and our families.

******Beginning:******
New year is always about new hope and my hope is for the end of the war — a moment when we can move from fight and survival to envisioning, from enduring to creating. The rebuilding of Ukraine must go beyond restoration; it must be a transformation — stronger, smarter, and more just. This war has taught us an undeniable truth: while external support is critical, true strength comes from within. To have a decisive voice at the table of global leadership, Ukraine must stand tall, resilient, and self-reliant, with external allies amplifying — not defining — our strength.
 
******Anger:******
Like every Ukrainian, my biggest fear is that the war will continue, causing more loss and suffering — lives lost, families broken, and more tears. The thought of ongoing uncertainty and destruction fills me with fear, frustration, and anger. 

******Optimism:******
The war has taught us that as leaders, we must be flexible — prepared for everything from the most optimistic scenarios to the harshest realities. I’ve learned that resilience comes from a balance of realism and optimism, with the latter being the force that carries us through tough times and the unknown. I’m preparing for hard work, dreaming boldly, and leading with optimism to navigate through the uncertainty.

******Revival:******
For me, 2025 is a year of Hope. With hope in our hearts and minds, we can endure, overcome new challenges, and move forward as individuals, as a society, and as a state. Hope empowers us to continue supporting Ukrainian defenders on the frontline, rebuild war-torn areas, improve infrastructure, and revitalize Ukraine’s economy. Also, we should find internal and external resources to stay united and capable of protecting Ukraine during the 4th year of the full-scale invasion (and the 11th year of the war). This is what our enemy attacked so many times in 2024 — our unity via its large-scale information war. Strong, united and resilient Ukrainians, driven by hope, can gain continued international support.

******Sovereignty:******
My greatest fear is losing Ukraine on the global map. Our goal is to emerge/exit from Russia's war against Ukraine as a sovereign independent state. In world history, there may be no other opportunity or chance to save Ukraine.

******Endurance:******
Ukraine has the power to protect Europe and the world. And, Ukrainians are standing strong against evil, knowing that light and truth will always triumph over darkness and lies. To secure victory and endure as a nation, we should remain united and diligently work toward rebuilding our homes and infrastructure, strengthening our military and defense capabilities, continuing economic reforms, supporting our Euro integration efforts, and securing a more active presence of Ukraine in international discussions on a wide range of topics. Ukrainians definitely have a lot to say and offer to the world. And, above all, supporting our veterans must remain our highest priority.

******Hope:******
My greatest hope for 2025 is the end of the war. I dream of a Ukraine where people are free and alive, where families are reunited, and where smiles replace the pain and suffering caused by war. I want to see soldiers safely return home, prisoners and stolen children brought back to their families, and a nation rebuilding itself with the strength and resilience it has already proven to the entire world.
I also hold onto the hope that justice will prevail. The crimes committed against our country must not go unpunished, and I believe retribution for these atrocities will come. This isn’t just about accountability — it’s about honoring the sacrifices of those who have suffered and ensuring such horrors can never happen again. My hope is for a Ukraine that emerges stronger, united, and ready to shape its future as a great nation.

******Forgetfulness:******
My greatest fear is that people might forget the immense price we paid in this war — the lives lost, the sacrifices made, and the unshakable spirit of our nation. I fear that, as time passes, we could lose sight of who we are, allowing divisions and political maneuvering to take precedence over unity and shared purpose.
I also worry about the weakness and craziness of global leadership. If the world’s democratic nations continue to hesitate or avoid decisive actions, they risk ceding ground to authoritarian regimes. The fight between democracy and dictatorship is not just about Ukraine — it’s about the future of freedom and human rights everywhere. My fear is that democracies might fail to recognize this and lose their will to stand firm, letting oppressors rewrite the rules of the world.

 ******Preparation:******
I’m preparing for the worst. I’m bracing for chaos, even greater uncertainty, and a world where the lack of rules becomes the norm. I’m readying myself for hard work and relentless challenges, knowing the road ahead will demand resilience and adaptability.
At the same time, I’m focusing on staying grounded understanding that preparation isn’t just about reacting to difficulties — it’s about finding strength within, holding onto my values, and working tirelessly for the future we believe in. 


********Conclusion********

The reflections in this newsletter underscore a universal s commitment to justice, peace, and progress. Adversity is not merely an obstacle — it is an opportunity to rebuild stronger, innovate boldly, and lead with purpose.

Ukraine’s journey toward peace, sovereignty, and resilience is a shared endeavor, one that requires steadfast support from international allies and an unwavering belief in the transformative power of unity and determination. ******Generous Support or Unpreparedness to Confront russia’s Aggression?******

How many times have we explained to our international partners how an economy functions in wartime? How do businesses operate when cities are being destroyed and public finances are stretched to the limit? How is it even possible to ensure macroeconomic stability in such conditions? The answers lie not only in the efforts of the government and private sector but also in unprecedented international support. 

Current economic situation in Ukraine has been determined by the war ravaging the country for almost three years. Evolution of the security environment will play a  decisive role in shaping the country's fortunes in the years to come and afterwards. The exact amount of damage caused to Ukraine’s economy by the large-scale Russian aggression is extremely difficult to assess, but a recent joint survey by the World Bank, the UN, the European Commission, and Ukrainian authorities estimates its cost at 486 billion dollars, or nearly triple Ukraine’s 2023 GDP before the summer attacks on the energy sector and infrastructure.

The need for external financing in Ukraine amounts to $38.4 billion in 2025, with a budget deficit projected at 19.4% of GDP. Over the past year, Ukraine has received more than $100 billion in external support, forming the foundation for macro-financial stabilization. However, while these funds have helped stabilize the economy, they are insufficient to meet Ukraine's urgent needs. For example, expenditures in 2025 are planned at approximately $96 billion (UAH 3.6 trillion), and revenues are approximately $54.67 billion (UAH 2.05 trillion), highlighting a significant shortfall even with international assistance. Monthly budget execution projections reveal that deficits in individual months, such as October 2024 (approximately $26.54 billion, UAH 995.1 billion) and September 2024 (approximately $21.41 billion, UAH 802.9 billion), far exceed the scale of current external aid packages.

Despite the challenges, during the first 10 months of this year, Ukraine's economy has continued to grow, driven by transport (primarily due to the stable operation of the Black Sea export corridor for agricultural products, metals, and ore), construction, and the manufacturing industry (particularly the defense sector). Agriculture has also remained a key contributor, with increased grain and oilseed exports despite a nearly 10% decline in harvest yields. However, this growth, while a testament to the resilience of certain sectors, cannot fully offset the immense fiscal strain caused by the war, as ongoing destruction and extraordinary wartime expenditures continue to widen the budget gap.

The IMF program for Ukraine is a marker of trust in the country’s economic policy, demonstrating resilience and readiness for reforms during the war and Russian aggression, which has now lasted more than 1,000 days. While international support has been vital in providing a foundation for stabilization, the scale of Ukraine’s fiscal challenges highlights the pressing need for expanded and sustained assistance to ensure both immediate recovery and long-term economic stability.

****IMF and Ukraine: A Milestone Staff-Level Agreement****

The IMF and Ukrainian authorities reached a Staff-Level Agreement on the Extended Fund Facility Arrangement. This agreement grants Ukraine access to an additional US$1.1 billion, bringing the total disbursements under the program to US$9.8 billion. Ukraine's government has met all quantitative performance criteria, implemented structural benchmarks, and pursued policies that ensure macroeconomic stability despite the ongoing war. In a time of exceptionally high uncertainty, the program’s strong performance highlights the resilience and prudence of Ukraine’s economic governance.

****Foreign Financial Assistance: Unprecedented Support****
Ukraine has received an impressive US$100.8 billion in foreign financial assistance from 27 countries and organizations, including the EU, USA, IMF, Japan, Canada, UK, World Bank, Germany, and Norway. Of this, 33% was disbursed as grants, while 67% came in the form of concessional loans. This significant support underscores the global commitment to Ukraine’s recovery and stability.

****Economic Projections and Key Challenges****

- GDP Growth: Real GDP is projected to grow by 4% in 2024, but challenges such as shaky energy infrastructure and labor shortages are expected to slow growth to 2.5-3.5% in 2025.
- Inflation: Inflation reached 9.7% y/y in October 2024 due to rising food and labor costs. It is expected to exceed 10% in early 2025 before declining to 6.9% by year-end and 5% by 2026 as energy conditions improve and agricultural outputs increase.
- Fiscal Deficit: The 2025 budget deficit is forecasted to reach 19% of GDP, reflecting war-related spending needs. Meeting these demands will require sustained external support and careful fiscal planning.
 
****Monetary Policy and Financial Stability****
The National Bank of Ukraine (NBU) maintained the key interest rate at 13%, though price pressures may lead to a temporary increase to 14%. International reserves stood at US$36.6 billion by end-October 2024, supported by external aid. Despite the war’s impact, the hryvnia remained relatively stable. The exchange rate is expected to continue absorbing shocks, with the NBU maintaining adequate reserves and gradually liberalizing foreign exchange policies.

****Banking Sector: A Resilient Foundation****
The banking sector showed resilience, with deposits from households and businesses increasing in volume. Deposit interest rates are expected to decline further, while loan demand, particularly for corporate and SME financing, reached its highest level since 2021. Consumer loans are also on the rise, driven by improved sentiment, lower interest rates, and a robust real estate outlook.
 

****Anti-Corruption and Institutional Reforms****
The independence, competence, and credibility of Ukraine’s anti-corruption and judicial institutions remain pivotal. The restoration of the full supervisory board of Ukrenergo is anticipated in December 2024, with independent evaluations of key energy SOEs planned for early 2025. These steps underscore Ukraine’s commitment to transparency and effective governance.

****Looking Ahead: Opportunities and Risks****

As Ukraine navigates its recovery, significant challenges and opportunities lie ahead. Sustained international support will be crucial for addressing fiscal risks, stabilizing the energy sector, and maintaining macroeconomic and fiscal resilience.In 2025 economic growth of Ukraine – in the absence of cataclysmic security shifts  - will persist, though at a slower pace than projected earlier. EBRD says  that the destruction of electricity generation and transmission capacities is impacting Ukraine’s economy and has interrupted four quarters of solid GDP growth, leading it to revise down its forecast for the country’s GDP growth in 2025 to 4.7% from the 6.0% it forecast in May.  
Ukrainian businesses should pursue opportunities in internal investments, as the most realistic investors in the war-time period, and seek external opportunities in the neighbouring markets.
Taking care of personnel and its mental well-being remains the key priorities for employers, along with the transformation and innovation of the real and banking sectors.

****Sixth Review of the Extended Fund Facility (EFF)****
An International Monetary Fund (IMF) team led by Mr. Gavin Gray held discussions in Kyiv with the Ukrainian authorities during November 2024 on the Sixth Review of the 4-year Extended Fund Facility Arrangement. Upon the conclusion of the discussions, the staff-level agreement has been reached with Board consideration expected in the coming weeks.

****Enhancing Anti-Corruption and Judicial Institutions****
The independence, competence, and credibility of anti-corruption and judicial institutions should continue to be enhanced. The recent parliamentary adoption of the law reforming the Accounting Chamber of Ukraine is a welcome step in this direction. Strengthening the criminal procedural code and establishing a new high administrative court are key near-term priorities. Timely completion and publication of the inaugural external audit report of the National Anti-corruption Bureau of Ukraine (NABU) will contribute to effective anti-corruption enforcement. The full supervisory board of Ukrenergo is expected to be restored in early December, with independent evaluations of the supervisory boards of key energy SOEs to be undertaken in the first quarter of 2025. Hopefully, no other boards fall apart in the meantime…

****Financial Sector Stability During Martial Law****
"The financial sector is stable and liquid, with reforms continuing apace despite challenges under Martial Law. To preserve financial stability and enhance preparedness for potential shocks, priorities include strengthening the bank rehabilitation framework, contingency planning and risk-based supervision. Until the end of this 2024 year, the focus was meant to be on inter alia contributing to long-term financial stability, including by preparing a deeper assessment of the banking sector health and further promoting central bank independence.

****Tackling Non-Performing Loans (NPLs)****
Going forward in financial sector policies will need to preserve financial stability and prepare for the postwar recovery, including contingency planning, bank diagnostics, as well as tackling troubled banks and non-performing assets. The NPL ratio remains a burden for state-owned banks (SOBs), which still hold about 80 percent of the sector’s NPLs (60 percent are accounted by PrivatBank). IMF and other partners remain committed to strengthening the governance of SOBs. Everyone recognizes that sound governance arrangements are key to preserve financial stability, protect public finances, and maintain the confidence of international partners and people of Ukraine.

****Strengthening Governance in State-Owned Banks****
The IMF remains fully committed to upholding the spirit of governance reforms in SOBs and ensuring their operation on a professional and commercial basis, without political interference on operational matters. A procedure for conducting annual business planning and performance assessments for all SOBs should be introduced asap. In parallel, the NBU is going ahead with asset quality review (AQR), viability analysis, and the diagnostics steps needed to design a Non-Performing Loan (NPL) resolution strategy. Let us all hope this will turn out to be a meaningful exercise leading to the ultimate NPLs resolution and enhancing the governance of the banking sector including SOBs even further.

******The Hardest Months Are Yet to Come'******

As Ukraine stands resilient against Russian aggression, the coming months promise to be the most challenging yet. Escalating military brutality, combined with delayed military support and the strain of war, is intensifying both economic and humanitarian pressures. While generous international financial assistance, including IMF programs, has been instrumental in stabilizing Ukraine’s macroeconomic landscape, it remains insufficient to address the country’s vast fiscal needs.

The situation is further complicated as the whole world, and Ukrainians most of all, are waiting for the transfer of the U.S. presidency—a period traditionally marked by a shift in priorities and potential delays in key international decisions. This transition in American leadership, coupled with intensified Russian offensives aimed at exploiting any perceived gaps in global support, puts Ukraine under immense pressure to navigate the coming months with limited resources and heightened military aggression.
 
The stakes could not be higher. Failure to act decisively now risks not only prolonging Ukraine’s suffering but also drastically changing the global security landscape. The world has yet to recognize that Ukraine's battle is not an isolated struggle but the very frontline for defending democratic values. The next few months will demand not only resilience from Ukraine but also unwavering commitment and timely action from its international partners.

Key issues raised by Women on Boards Ukraine included the need for programs to build gender awareness within organizations, support for young women entering STEM fields, and the importance of international networking to advance gender equality. Ambassador Dorhout encouraged individual leadership actions to inspire broader change. Women on Boards Ukraine extends gratitude to Ambassador Dorhout and all participants for their contributions and looks forward to continued dialogue on these vital topics.

In the face of immense challenges, Ukraine's commitment to robust corporate governance is more critical than ever. Sound governance practices underpin stability and sustainable growth, particularly as the country rebuilds its infrastructure and aligns with European standards. This edition of the Women on Boards Ukraine newsletter spotlights the importance of governance frameworks that foster resilience, mitigate risks, and champion accountability in times of change. Highlighting both positive transformations and critical areas for improvement, this issue underscores our shared mission to strengthen Ukraine’s organizational backbone—a mission essential for national security and for building trust with international stakeholders.

******Corporate Governance in PrivatBank******

Corporate Governance reform was pioneered in state-owned banks, with the updated Banking Law in 2019 providing guidance on the selection of Supervisory Board members and defining reasons for premature termination. This led to a historic moment, as the supervisory boards of three state-owned banks were first elected through a transparent, competitive process, ensuring independence from political influence. The transparent selection process enabled merit-based appointments and scrutiny.

I’ll share my experience on PrivatBank's SB from July 2019 to December 2022, focusing on key elements of its success.
- The transparent selection process resulted in a diverse, skilled SB with expertise in areas critical to PrivatBank. Each field—governance, strategy, finance/audit, legal, or risk management—was represented, ensuring the Board collectively had the skills to govern PrivatBank.
- The Board adopted a democratic approach in corporate governance, fostering open dialogue and transparent discussions where each member could contribute, share insights, and challenge perspectives. The SB Chair ensured this approach, though it posed challenges with nine members contributing, often leading to prolonged discussions and time management difficulties. Over time, frameworks were developed to address these issues.
- The Board invested in building relationships and trust. In the first year, we held a retreat, spending a few days discussing the bank’s challenges and aligning on strategy, vision and mission. Through these discussions, we unified around the core value we aimed to bring to the institution.
- The SB focused on frameworks to streamline governance processes. We developed a matrix of responsibilities, divided among committees – allowing the delegation of technical reviews to experts within the committees, easing time management in full Board meetings. This also ensured well-prepared decisions, contributing to more effective and strategic governance.
Another example was the Supervisory Board Plan, a strategic framework addressing areas necessary for recovery, and growth: updating the bank’s strategy, improving corporate culture, enhancing control systems, business continuity planning, quality of information, monitoring and assessing of the operational effectiveness of the executive management, decreasing Non-Performing Loans, etc.  SB members sponsored various initiatives, promoting engagement, oversight, and focus on key issues. This annually updated plan allowed the Board to monitor progress, allocate resources, and prioritize tasks. Together with the strategy of the bank, it guided the development of KPIs for executive management. As a result, strong foundational systems were established in Risk Management, IT, business development, and HR.
- Transforming Executive Management under SB oversight was crucial. Over the first 1.5 years, the executive team was restructured to meet PrivatBank’s strategic needs, ensuring the skillset to manage a complex and transforming institution. The transparent and competitive process with independent executive search companies ensured that the best candidates were chosen based on merit and qualifications. The Board's independence and strictly defined selection processes allowed the SB to select the strongest candidates despite external pressure from multiple sources.
- Culture Transformation started with the Code of Ethics, Conflict of Interest policy, and Code of Corporate Governance. This was challenging, as the bank, before nationalization, had operated with unethical and predatory practices. Transparent selection processes were cascaded to the regional centers for merit-based hiring. This initiated regional transformation, turning “kingdoms” of regional offices into the manageable branch network, supported by strengthened HR practices, performance management, and a structured remuneration policy. Building a system of checks and balances, including enhanced risk management, compliance, and internal audit functions, was also critical to this cultural shift.

Corporate governance reforms enabled PrivatBank’s profound transformation, establishing strong, transparent structures and leadership. This not only restored the bank's integrity but also allowed it to withstand crises like COVID and the invasion. PrivatBank exhibits exemplary risk management, sound financial practices, and a responsible business approach to providing access to finance across the country. The Bank’s staff showed unimaginable dedication and responsibility to ensure the availability of essential services to the customers under the full-scale invasion. Today, the bank is one of the largest taxpayers in the country and one of the most profitable state-owned businesses since nationalization.

******Ukraine's Energy Integration Faces Challenges After Ukrenergo Governance Changes******

Ukraine’s progress toward integration into the European energy network, a vital support during the ongoing conflict with Russia, is encountering challenges due to recent changes in the corporate governance of Ukrenergo, the national electricity transmission system operator. The situation, following the recent dismissal of the CEO and the subsequent resignation of TWO independent supervisory board members, has led to concerns from the Energy Community Secretariat regarding Ukraine's compliance with EU energy regulations.

****The Role of EU Integration in Supporting Ukraine’s Energy Stability****

In March 2022, Ukraine successfully synchronized its electricity grid with the European Network of Transmission System Operators for Electricity (ENTSO-E). This synchronization was instrumental in ensuring a stable electricity supply after the Russian invasion significantly impacted Ukraine’s energy infrastructure, especially its balancing capacities. The ability to import electricity from the EU became essential for maintaining services and providing power to millions of Ukrainians.

****Governance Reforms: The Basis for Synchronization****

This synchronization hinged on Ukrenergo achieving certification as a transmission system operator, a process that required significant corporate governance reforms. Ukrenergo made considerable efforts to meet these requirements, including:
- **Creating an Independent Supervisory Board:** The board was established to ensure that Ukrenergo’s operations would be managed independently of government interference.
- **Enhancing Internal Controls and Risk Management:** Measures were implemented to maintain transparency and accountability.
- **Introducing Organizational Changes within the Ministry of Energy:** These adjustments were aimed at minimizing conflicts of interest, given the Ministry's dual role as both shareholder and policymaker.

**Recent Governance Shifts: Implications for Progress**

The dismissal of the CEO and the resignation of independent board members have impacted the progress made, creating uncertainty around Ukrenergo's governance structure. This change raises concerns about potential political interference and challenges in maintaining compliance with EU energy standards.

****Energy Community's Observations and Suggested Steps****

In response to the recent developments, the Energy Community Secretariat has issued a letter, outlining areas of concern and suggesting key actions:
- **Need for Independent Supervisory Board Members:** The letter emphasizes the importance of appointing four independent members by December 9th, 2024.
- **Revisiting Ukrenergo's Charter:** Strengthening the independence of the Supervisory Board is a priority.
- **Implementing Order No. 162:** This order is aimed at addressing potential conflicts of interest within the Ministry of Energy.
- **Reviewing Order 408/2022:** Adjustments to this order could enhance the independence of Ukrenergo's operations from ministerial oversight.

The Energy Community Secretariat has indicated that failure to address these issues by December 9th could lead to the reopening of the certification procedure for Ukrenergo, which might limit Ukraine's ability to import electricity from the EU and impact its energy security.

****Looking Ahead: The Importance of Addressing Governance Concerns****

This situation underscores the fragile nature of Ukraine's energy infrastructure and the pressing need for stable governance. Currently, "Ukrenergo" is unable to operate effectively, as it functions without a CEO and an independent supervisory board. The government has announced a competition for the selection of three independent board members, while the fourth is being chosen through a previously initiated process. The appointment of all independent supervisory board members is scheduled for completion by December 9, 2024. Addressing these governance challenges is essential for securing uninterrupted energy supply and supporting Ukraine's integration into the European energy market. A timely resolution will be vital to reinforcing the country’s resilience amidst ongoing conflict and aiding its long-term recovery.

******Conclusion:******

The experiences of PrivatBank and Ukrenergo illustrate Ukraine's critical journey in aligning corporate governance with international standards. PrivatBank’s transformation showcases how robust governance reforms can drive stability, attract investor confidence, and ensure operational continuity even amid challenges. Conversely, Ukrenergo’s recent setbacks underscore the vulnerability of governance progress when political interference compromises institutional independence. These issues threaten not only Ukraine’s EU energy integration but also its broader energy security.

A consistent, transparent governance approach across sectors will be essential for Ukraine’s economic resilience and ambitions for European integration. By upholding high governance standards, Ukraine can bolster public trust, secure international support, and pave the way toward a sustainable future within the European community. We are pleased to share the notable achievement of our member, Natalie Jaresko, who was recently honored with the GLOBSEC European Award during the forum in the Tatra Mountains. This award recognizes her significant contributions to European competitiveness amidst a rapidly evolving global landscape.

As the former Minister of Finance of Ukraine, Natalie played a pivotal role during one of the most challenging periods in Ukraine’s modern history. She led efforts to restructure Ukraine’s sovereign debt and managed a massive fiscal crisis during the initial illegal invasion and annexation of Donbas and Crimea by Russia. This award is not only a testament to her leadership but also to the unwavering resilience of the Ukrainian people.

Reflecting on this honor, Natalie emphasizes the collective strength of Ukraine and the enduring partnership between Ukraine and Europe. Her dedication to democracy, freedom, justice, security, prosperity, and sustainability serves as an inspiration to us all.

Yesterday, the 2024 EBRD Nominee Director Conference brought together distinguished delegates in London, and we are proud to say that several of our members and supporters were part of this select group.

The conference’s theme, “Board Psychology,” delved into critical and often underexplored areas such as The Art and Psychology of Board Relationships, Board Culture and Diversifying Perspectives, and the intriguing role of Mindfulness, Psychometrics, and AI in the Boardroom.

We would like to complement Justin Robertson, Head of Board Development and Expert Network for an exceptional content and speakers in all sessions, presenting very valuable and insightful perspectives.

Вчора на конференції кандидатів на посаду директора ЄБРР 2024 року в Лондоні зібралися видатні делегати, і ми з гордістю зазначаємо, що кілька наших членкинь та сапортерів були частиною цієї обраної групи.

As Ukraine stands at the forefront of global attention, the critical discussions at the 20th Annual Yalta European Strategy (YES) Conference, held on September 13–14, 2024, in Kyiv, bore significant weight. Under the theme “The Necessity to Win,” this year’s conference brought together over 700 global leaders, including politicians, diplomats, business executives, and military officials, to deliberate on Ukraine’s future and its broader geopolitical impact. The stakes were s victory is not merely a national priority—it is a global imperative for peace and security.

******The Role of Ukrainian Business in Sustaining the Economy During War******

"At YES, discussions on security and geopolitics dominated much of the conversation—how to help Ukraine win and how to persuade governments and allies to increase support. But amid those heavy, theoretical debates, Ukrainian businesses stood s economy, they are very practical and real.
 

Every day, business leaders make tough decisions: whether to open a new branch close to the front lines, how to reskill women to take on roles traditionally held by men, how to find new markets, and even how to motivate their teams after a sleepless night. Yet despite it all, these individuals keep going. The Ukrainian economy works because of them.
 

When people abroad ask me, “How is the economy still functioning?” I smile. It’s because of these business heroes that it does. For others, it might seem abstract, but for us, it’s a daily reality. No country can survive without a functioning economy, and Ukraine is no exception. Economy and leadership are interlinked in this war—fearless leaders are not just fighting on the battlefield but also in boardrooms, factories, and fields, making decisions that shape our future.

Reflecting on these thoughts, I am reminded of Shimon Peres, who I was honored to once listen to at YES. He said, “The future belongs to those who believe in the beauty of their dreams.” In this spirit, let’s continue to believe in the beauty of our dreams for Ukraine. Together, we can turn those dreams into reality.”

The survey conducted by the American Chamber of Commerce and Deloitte in Ukraine 2024 provides a clear picture of how Ukraine's economy survives thanks to the resilience and leadership of its business community. According to the survey, 76% of companies reported the significant impact of prolonged power outages on their operations, yet 88% of businesses confirmed they are prepared to face these challenges, with most having already developed plans for continuous operations during blackouts​. This reflects the ingenuity and determination of Ukraine’s private sector to maintain operations under extreme conditions.

******Ukraine's Strategic Imperative: Security, Growth, and Global Stability******

Ukraine’s geostrategic position and its military-industrial potential place it as a vital player in European security. By investing in military technologies and infrastructure, Ukraine can fuel its economic growth and secure its role as a key partner in ensuring the stability of the entire region."

Ukraine's defence sector holds significant potential to strengthen European security through its military-industrial capabilities and strategic location. In 2023, the production capacity of Ukraine’s defence industry was valued at $7 billion, and with proper investments, this figure could potentially triple to $20 billion by 2025. These advancements are crucial not only for Ukraine's economic recovery but also for establishing it as a key player in European defence.

******Urgency of Action and New Strategies: The Ukrainian Economy and Path to Recovery******

“Time is our most valuable resource. Every day of delay in international support means more losses for Ukraine, both human and material. Economic stability can only be achieved through swift and effective actions. Any discussions of financial aid must reflect the harsh realities on the front lines. While there is uncertainty about further support, Ukrainian defenders sacrifice their lives daily. There is a critical need to swiftly adapt economic strategies to the challenges of wartime”.

Despite the ongoing war, Ukraine's economy continues to recover, with real GDP growing by 6.5% year-over-year in Q1 2024, surpassing expectations despite recent damage to energy infrastructure from Russian attacks. However, while this growth is promising, it remains insufficient for the country’s long-term recovery. According to official statistics, in 2023, GDP growth reached 3.6%, but according to the National Bank of Ukraine, sustainable development will require an additional $50–100 billion in external investments. Key to attracting these investments will be creating transparent business conditions and effectively combating corruption.

******Challenges and Opportunities: Ukraine as a Key Player in European Security******

“Ukraine does not have the choice between victory or defeat. Defeat would be a disaster not only for us but for all of Europe. Military and economic support from the West is vitally important for Ukraine. Time is not on Ukraine’s side, as any delays in weapon deliveries or funding further exacerbate the situation on the front lines”.

Ukraine’s victory will send a powerful signal to the international community about the possibility of resisting autocracies and fostering global democratic change. Ukraine can become not only the defensive shield of Europe but also an important economic partner if international partners provide timely support. 

******The Emotional Toll of War: The Human Factor as a Driver of Change******

“Hearing the stories of our defenders, we cannot afford to take any pause. Every day of inaction means more suffering and loss. War not only destroys the economy and infrastructure but also leaves deep psychological scars that will be felt long after its conclusion. There is an urgent need for psychological assistance as part of the country’s recovery, as the emotional stress among the population poses long-term social and economic risks”.

According to the Ministry of Social Policy, millions of Ukrainians have endured significant losses and stress, negatively affecting their productivity and quality of life. Effective social and psychological support is a key factor in restoring Ukraine’s human capital.

******Conclusion: Towards a Sustainable Future for Ukraine’s Business and Economy******

The YES 2024 conference reinforced the critical importance of sustainability in Ukrainian business and the alignment with European standards as Ukraine continues its irreversible path towards European integration. As Ukraine navigates through the challenges of war, it is essential that businesses focus on long-term stability, even as the conflict extends its impact.

 

WoBua members highlighted that for Ukrainian businesses to thrive, they must prioritize not only immediate recovery but also ensure their operations are changing in line and in spirit to European standards. This focus will not only stabilize Ukrainian businesses in destress but also position Ukraine as a strong economic partner within Europe.

 

The integration process demands significant investments and structural reforms to create transparent, competitive markets capable of attracting foreign investors. Ukraine’s commitment to European norms and practices will be key to its sustainable growth and its ability to function as a reliable player in the European economy.

 

As both Ukrainian and international partners take action, the urgency for fostering economic resilience and adhering to European regulatory frameworks cannot be overstated. Ensuring this will be vital not only for Ukraine’s success but also for the stability of the broader European region.

Оскільки Україна знаходиться в центрі світової уваги, критичні дискусії на 20-й щорічній конференції Ялтинської європейської стратегії (YES), що відбулася 13–14 вересня 2024 року в Києві, мали дійсно велике значення. Під темою "Необхідність перемогти" цього року конференція зібрала понад 700 світових лідерів, серед яких політики, дипломати, керівники бізнесу та військові посадовці, щоб обговорити майбутнє України та її геополітичний вплив. Ставки були високими, оскільки перемога є не просто національним пріоритетом — це глобальна необхідність для миру та безпеки.

******Роль українського бізнесу у підтримці економіки під час війни******

«На конференції YES дискусії про безпеку та геополітику домінували в більшій частині розмов — як допомогти Україні перемогти та як переконати уряди та союзників збільшити підтримку. Але серед цих важких теоретичних дебатів українські підприємці стояли на захисті економіки — і їхній вклад є дуже практичним і реальним.

Щодня бізнес-лідери ухвалюють важкі рішення: чи відкривати нове відділення поблизу лінії фронту, як навчити жінок виконувати ролі, які традиційно займали чоловіки, як знаходити нові ринки, і навіть як мотивувати свої команди після безсонної ночі. Проте, незважаючи на всі ці виклики, вони продовжують працювати. Українська економіка функціонує завдяки ним.

Коли люди за кордоном запитують мене: «Як економіка досі функціонує?», я усміхаюся. Економіка працює завдяки цим бізнес-героям. Для інших це може здаватися абстрактним, але для нас це щоденна реальність. Жодна країна не може вижити без функціонуючої економіки, і Україна — не виняток. Економіка та лідерство тісно пов'язані в цій війні — сміливі лідери борються не лише на полі бою, але й у конференц-залах, на заводах та в полях, ухвалюючи рішення, які формують наше майбутнє.

Розмірковуючи над цими думками, я згадую Шимона Переса, якого мені випала честь слухати на конференції YES. Він сказав: «Майбутнє належить тим, хто вірить у красу своїх мрій». У цьому дусі, давайте продовжимо вірити в красу наших мрій для України. Разом ми можемо перетворити ці мрії в реальність».

Опитування, проведене Американською торговою палатою та Deloitte в Україні у 2024 році, чітко показує, як економіка України виживає завдяки стійкості та лідерству бізнес-спільноти. Згідно з опитуванням, 76% компаній повідомили про значний вплив тривалих відключень електроенергії на їхню діяльність, проте 88% бізнесів підтвердили, що готові протистояти цим викликам, причому більшість з них вже розробили плани безперервної роботи під час відключень електроенергії. Це відображає винахідливість і рішучість приватного сектору України підтримувати роботу в екстремальних умовах.

******Стратегічний імператив України: безпека, розвиток та глобальна стабільність******

«Хоча увага світу часто переключається на термінові зустрічі та глобальні питання, ключові моменти конференції YES залишаються яскравими — особливо виступи впливових спікерів і емоційна панель військових. Центральною темою стало те, що перемога України — це не лише національний пріоритет, але й глобальна необхідність, яка є вирішальною для стабільності Європи та за її межами.

Геостратегічне положення України та її військово-промисловий потенціал роблять її важливим гравцем у системі європейської безпеки. Інвестуючи у військові технології та інфраструктуру, Україна може стимулювати економічне зростання та закріпити свою роль ключового партнера у забезпеченні стабільності всього регіону».

Оборонний сектор України має значний потенціал для посилення європейської безпеки завдяки своїм військово-промисловим можливостям і стратегічному розташуванню. У 2023 році виробничі потужності оборонної промисловості України були оцінені в 7 мільярдів доларів, і за належних інвестицій ця цифра може збільшитися до 20 мільярдів доларів до 2025 року. Ці досягнення мають вирішальне значення не лише для економічного відновлення України, але й для встановлення її як ключового гравця у сфері європейської оборони.

******Невідкладність дій та нові стратегії: українська економіка і шлях до відновлення******

«Час — наш найцінніший ресурс. Кожен день зволікання з міжнародною підтримкою призводить до нових втрат для України — як людських, так і матеріальних. Економічну стабільність можна досягти лише через швидкі та ефективні дії. Обговорення фінансової допомоги повинно враховувати суворі реалії на фронті. Хоча є невизначеність щодо подальшої підтримки, українські захисники щодня жертвують своїм життям. Вкрай важливо швидко адаптувати економічні стратегії до викликів воєнного часу».

Незважаючи на триваючу війну, економіка України продовжує відновлюватися: реальний ВВП у першому кварталі 2024 року зріс на 6,5% у річному обчисленні, перевищивши очікування, попри нещодавні пошкодження енергетичної інфраструктури внаслідок російських атак. Однак, хоча це зростання є обнадійливим, воно недостатнє для довгострокового відновлення країни. Згідно з офіційною статистикою, у 2023 році зростання ВВП становило 3,6%, проте, за даними Національного банку України, для сталого розвитку країни необхідні додаткові 50–100 мільярдів доларів зовнішніх інвестицій. Ключовими факторами для залучення цих інвестицій будуть створення прозорих умов для бізнесу та ефективна боротьба з корупцією.

******Виклики та можливості: Україна як ключовий гравець у європейській безпеці******

«Україна не має вибору між перемогою та поразкою. Поразка стала б катастрофою не лише для нас, але й для всієї Європи. Військова та економічна підтримка Заходу життєво необхідна для України. Час не на боці України, адже будь-які затримки у постачанні зброї чи фінансуванні ще більше ускладнюють ситуацію на фронті».

Перемога України стане потужним сигналом для міжнародної спільноти про можливість протистояти автократіям і сприяти глобальним демократичним змінам. Україна може стати не лише оборонним щитом Європи, але й важливим економічним партнером, якщо міжнародні партнери нададуть своєчасну підтримку.

«Слухаючи історії наших захисників, ми не можемо дозволити собі паузи. Кожен день бездіяльності означає більше страждань і втрат. Війна не тільки руйнує економіку та інфраструктуру, але й залишає глибокі психологічні рани, які будуть відчуватися ще довго після її завершення. Нагально необхідна психологічна допомога як частина відновлення країни, оскільки емоційний стрес серед населення несе довгострокові соціальні та економічні ризики».

Згідно з даними Міністерства соціальної політики, мільйони українців зазнали значних втрат і стресу, що негативно позначається на їхній продуктивності та якості життя. Ефективна соціальна та психологічна підтримка є ключовим фактором у відновленні людського капіталу України.

******Висновок: Шлях до сталого майбутнього для українського бізнесу та економіки******

Конференція YES 2024 підтвердила критичну важливість сталого розвитку українського бізнесу та його відповідності європейським стандартам, оскільки Україна продовжує свій незворотний шлях до євроінтеграції. У міру того, як Україна долає виклики війни, для бізнесу важливо зосередитися на довгостроковій стабільності, навіть якщо війна продовжує впливати на економіку.

Членкині Women on Boards Ukraine (WoBua) підкреслили, що для того, щоб український бізнес процвітав, необхідно не лише зосередитися на негайному відновленні, але й забезпечити, щоб їхні операції відповідали духу та стандартам Європи. Це дозволить не лише стабілізувати українські підприємства в умовах стресу, а й позиціонувати Україну як сильного економічного партнера в Європі.

Процес інтеграції вимагає значних інвестицій і структурних реформ для створення прозорих, конкурентоспроможних ринків, здатних залучати іноземних інвесторів. Відданість України європейським нормам і практикам буде ключем до її сталого зростання та здатності функціонувати як надійний гравець в європейській економіці.

У міру того, як українські та міжнародні партнери вживають заходів, необхідність зміцнення економічної стійкості та дотримання європейських регуляторних рамок не може бути переоцінена. Це буде вирішальним не лише для успіху України, але й для стабільності ширшого європейського регіону.

We had the pleasure of hosting an exclusive, off-the-record breakfast with Lisa Kaestner, IFC - International Finance Corporation Country Manager for Ukraine. 

In a warm and welcoming atmosphere, WoBua members had a unique opportunity to hear insights about the IFC’s role in Ukraine and its commitment to Ukraine, illustrated by continuous investments during the war. Members discussed the potential for private investments into the country and prerequisites for new investors to prioritise towards Ukraine. During active discussions and exchange of opinions, we also touched upon the topic of diversity at the key decision-making tables. 

Such a pleasure to openly exchange opinions and share different views. A heartfelt thank you to Lisa and all the attendees for creating such an inspiring and engaging morning!

Have you ever thought about taking your leadership skills to the next level and joining a board?

We recently hosted a session with executive search expert Mark Hamill who shared valuable insights on navigating the board ecosystem and preparing for a second career as a board member.

Mark is a leader in talent acquisition, specializing in C-suite roles, CEO succession, and board development. He serves as a Non-Executive Director at Ackermann International, is the YPO UK chapter chair, and leads his own firm, The Naked Headhunter. His extensive experience has helped countless senior leaders find their next step and transition onto boards.

Here are some key takeaways from the session:

Visibility is Everything: Mark emphasized the importance of being visible and making sure people know you're open to board opportunities. He shared strategies to optimize LinkedIn profiles by highlighting leadership philosophies and board-related experiences.

The Power of Networking: board positions come through personal networks. Mark encouraged us to continuously expand our connections and nurture existing relationships to unlock new opportunities.

Unique Leadership Experiences Matter: Boards are looking for directors who’ve "been in the CEO's shoes," led international growth, managed M&A, or navigated crises and turnarounds. Many of our members asked about how Ukrainian board members, particularly those who have led companies through crises and war, could offer their valuable experience to Western European companies. Mark confirmed that such crisis leadership skills are highly sought after, especially in today's dynamic global market.

Expanding Opportunities for Ukrainian Directors: Another key question was how Ukrainian board members could expand their opportunities to serve on boards in Western Europe. Mark advised focusing on building visibility, and leveraging international networks to bridge the gap.

This event was an incredible learning experience, and it's clear that the journey to joining a board requires intentional planning and visibility. How do you make yourself visible for new opportunities?

Нещодавно ми провели сесію з експертом з виконавчого пошуку Марком Хеміллом, який поділився цінними інсайтами про те, як орієнтуватися в екосистемі рад директорів і готуватися до другої кар’єри в якості члена ради.

Марк є лідером у сфері пошуку талантів, спеціалізується на C-suite ролях, наступництві на посадах CEO і розвитку рад директорів. Марк підтвердив, що такі навички кризового управління є дуже затребуваними, особливо в сучасних динамічних глобальних ринках.

From the spark of an idea to the creation of Women on Boards Ukraine one year ago, our journey together has been driven by friendship, shared purpose, and the belief that true progress happens when women join forces. What began as discussions about the challenges of leadership evolved into a platform founded on solidarity, mutual respect, and the life principle of collaboration over competition.

Together, we’ve come to understand that the strength of an idea isn’t just in its execution but in the partnership that fuels it. We know that is not easy but it is definitely possible. We have learned ourselves that the values of trust, support, and collective growth aren’t just ideals—they are essential to creating better, more effective boards. With one year of partnership behind us today we even stronger believe that diversity, when joined in partnership, leads to stronger decisions, more innovative thinking, and a deeper impact.

Here’s to friendship, breaking barriers, and to the unwavering belief that when women support women, we don’t just succeed—we redefine success for everyone.

Від ідеї до створення «Women on Boards Ukraine» рік тому, наша спільна подорож була натхненна дружбою, спільною метою та переконанням, що справжній прогрес відбувається, коли жінки об'єднуються. Те, що починалося як розмови про виклики лідерства, переросло в платформу, засновану на солідарності, взаємній повазі та життєвому принципі співпраці, а не конкуренції.

A platform founded on solidarity, respect, and collaboration

In a recent publication, Olyana Gordiyenko, a member of Women on Boards Ukraine, discusses the roots, the challenges and progress of corporate governance reform in Ukraine. She highlights that while recent legislative changes claim to kick off the reform, it is crucial to recognize that this journey began long before 2024 and has been going up and down for more than 10 years.

This diverse group of influential women is united by a common goal: advancing gender diversity on corporate boards. Our honorary supporters, who publicly advocate for equal participation of women in key decision-making roles, exemplify the growing support for this critical cause. We are proud to see this group of supporters expanding, primarily consisting of men, reflecting a broad commitment to gender equality. The growth of our community underscores our shared dedication to reshaping Ukraine's leadership landscape.

Strategic partnerships have been crucial in advancing our mission. We have collaborated with leading organizations such as Female Quotient, European Women on Boards, Women on Boards UK, and Women on Boards Belgium. These alliances have connected us with global expertise and resources, providing new opportunities for our members to grow and increase their influence, further solidifying our presence on the international stage.

Additionally, we have formed strategic relationships with the Ukrainian Corporate Governance Academy and the Corporate Governance Professional Association. Although not formal partnerships, these collaborations have been invaluable in aligning our efforts to promote best practices in corporate governance and enhance the role of women leaders in Ukraine.

Throughout the year, WoBua organized and conducted 20 events designed to educate, inspire, and connect our community members. These events were carefully structured around three pillars: community-building, educational and inspirational sessions, and showcasing the exceptional talent, strength, and resilience of Ukrainian professional women to the world. Our calendar featured a mix of formats to cater to our members' diverse needs and locations, ensuring meaningful engagement across borders.

Notable educational and inspirational events included:

- Boardroom Careers with Fiona Hathorn, CEO of Women on Boards UK
- Confidence Masterclass with Sarah Perris, former Worldwide Communications Director at Ford Motor and Bentley Motors
- Alice Breeden from the CEO & Board of Directors Practice in Europe and Africa discussed "Global Trends in the Boardroom."
- Mary Meaney, Senior Partner at McKinsey, addressed "Game Change for Female Leadership in the Corporate World."
 
Additionally, we hosted 5 high-impact in-person events across major cities like Brussels, London, Kyiv, and Berlin. A highlight was our event in Brussels, which began with a breakfast at the prestigious Heidrick & Struggles office, where Marie Helen, Head of Board Practice, shared her insights on career development. The day continued with a friendly dinner attended by Vsevolod Chentsov, Head of Ukraine's Mission to the European Union, followed by our members' participation in a conference focused on strengthening connections between Ukraine and European businesses.

One of WoBua's key goals is to introduce the exceptional talent of Ukrainian professional women to the global stage. Five events have been organized for our international partners and friendly communities aimed at providing a platform for our members to share their stories of resilience, professionalism, and leadership during wartime. These events attracted 300 attendees and garnered incredible feedback, with comments ranging from "The event was a powerful reminder of the incredible impact that Ukrainian women are making, even in the face of adversity" to "The insights shared were invaluable. The women of Ukraine are not just surviving; they are thriving and setting a new standard for global leadership.", just a few passionate comments shared by participants.

WoBua's global presence has been marked by active participation in prestigious international forums and conferences, including the Asian Summit by the Milken Institute, Reykjavik Global Forum 2023, Davos side events and YES conferences, Ukrainian Banking Day in London, the 6th International Corporate Governance Forum, the Rebuild Ukraine Business Forum in Toronto, and the "Finance of the conference of the Polish Bank Association in Warsaw, among others. These platforms have provided us with unique opportunities to advocate for gender diversity and highlight the leadership of Ukrainian women on a global scale.

As we reflect on our first year's challenges and achievements, we recognize that this has been a year of laying the groundwork. The progress we've made is just the beginning, a foundation upon which we will build an even stronger and more impactful community.

Our vision for the future is clear: we aim to grow our membership, bringing together over 100 of Ukraine's most influential and dedicated women leaders. This growth will not only strengthen our network but also amplify our collective voice, ensuring that women have a decisive role in shaping the future of corporate governance and beyond.
 
In the coming year, we are committed to deepening our involvement in the major streams of Ukraine's reconstruction and development. By leveraging strategic partnerships and fostering new alliances, we will ensure that our members are at the forefront of critical initiatives, contributing their expertise to drive meaningful change.

Our focus will also be on expanding our influence through research and thought leadership. By equipping our members with cutting-edge knowledge and insights, we will empower them to lead with confidence and vision in these transformative times.

The foundation we have laid in the past year positions us perfectly to grow, to lead, and to inspire. Collectively, they have served on the boards of 58 companies, bringing critical skills in areas such as digital strategy, compliance and legal, audit and risk management, investment, fundraising, and ESG (Environmental, Social, and Governance). WoBua actively supports legislative reforms to improve gender balance on boards, aligning with the European Directive (EU) 2022/2381. We focus on building global partnerships and providing our members with educational and mentoring opportunities. In 2024, amid global challenges and transformations, shifts in investor expectations, regulatory updates in the EU, and the impact of war, the adoption of ESG (Environmental, Social, and Governance) principles is becoming increasingly relevant for Ukrainian companies. These trends are driving Ukrainian businesses to rethink their approaches to sustainability and responsibility. Experts Olga Bielkova, Senior Advisor at FTI Consulting, and Marta Halabala, Head of Environmental Protection and Sustainable Development at the law firm Asters, share insights on how Ukrainian companies are adapting to these changes.

**Evolution of ESG Approaches in Ukraine**

Olga Bielkova notes that initially, ESG approaches in Ukraine were relevant only to the largest corporations involved in natural resources and exports. "At first, most companies in Ukraine perceived these three letters (ESG) as something foreign and not very relevant to Ukrainian realities," she recalls.

What is ESG? It is a set of standards that defines how environmentally conscious, socially responsible, and well-governed a company is. Each component of ESG has its unique specifics:

Environmental practices: Involve measures to reduce greenhouse gas emissions, efficient use of resources, waste management, and the adoption of environmentally friendly technologies. Companies can reduce energy consumption, use renewable energy sources, and minimize their carbon footprint.
Social practices: Relate to social relationships and impacts on society. This includes ensuring safe working conditions, community development, support for equality and inclusivity, and human rights protection. Companies can implement employee training programs, improve working conditions, and promote gender balance.
Corporate governance: Refers to the company's management structure, including transparency in decision-making processes, ethical business practices, and compliance with legal standards. This includes establishing independent boards, adhering to anti-corruption measures, and ensuring regulatory compliance.

Olga Bielkova adds, “Over time, we have all become more aware of ESG not just in terms of form and reporting, but in the substance of the changes needed for companies regarding sustainable development. While the environmental aspect is the most straightforward, social and governance issues cannot be ignored. In Ukraine, particularly during the war, the latter two components have gained additional significance. Sustainable development during wartime may seem like a distant concept, but even in the current energy situation, green technologies are essential for Ukraine's survival as they are adapted for rapid and decentralized generation." She also mentions that Ukrainian consumers and society are becoming more informed and demanding regarding corporate and social responsibility, with an eye toward the future. "Our children are already asking why we don't sort waste," she says.

**Insights from European Experience**

Marta Halabala shares her experience of training in Ireland, where she observed how a comprehensive ESG strategy could lead to real, measurable outcomes. "An integrated approach to ESG includes environmental, social, and governance aspects," she states. "Immediate application of human rights principles in daily activities highlighted the importance of respecting these rights within corporate frameworks. The firm promotes diversity through mentoring programs and supports both men and women with children by providing additional leave for childcare and health-related issues, such as fertility problems. Besides basic actions like waste sorting, the firm also uses a strategic environmental consulting approach to help clients make long-term sustainable decisions. Their pro bono work also demonstrates the commitment of every employee, from junior lawyers to partners, to participate in projects for the common good."

Back in Ukraine, Marta is actively promoting sustainable development and raising awareness of ESG. She emphasizes that Ukrainian companies face numerous challenges due to war, unpredictable regulatory policies, security issues, and staff shortages. "Despite these and other challenges, implementing ESG practices is crucial for increasing business resilience," Halabala stresses. "It helps companies be more prepared for challenges and adapt to new conditions."

**Role of International Investors and Standards**

Olga Bielkova highlights the importance of international institutions in implementing ESG practices in Ukraine. "The EU sets very high ESG standards, encouraging other regions to consider these metrics," she notes. "European financial institutions such as the EBRD and IFC also actively promote ESG metrics for investment and lending, influencing Ukrainian companies that seek such cooperation. More systematic consideration of ESG practices and quality reporting on activities and risk assessments open new opportunities for financing Ukrainian businesses through EU support," she emphasizes. "Integrating ESG metrics is becoming a crucial condition for obtaining international investments and capital market access."

Marta Halabala adds that EU regulations, such as the Corporate Sustainability Reporting Directive (CSRD) and the Carbon Border Adjustment Mechanism (CBAM), significantly impact the Ukrainian energy sector. "Compliance with EU standards is essential for accessing international markets and investments," she stresses. "This encourages companies to implement sustainable practices and enhance their competitiveness."

**Practical Recommendations for Ukrainian Companies**

Olga Bielkova foresees ongoing debates within the Ukrainian government and parliament regarding the acceptable format for ESG implementation. She believes that businesses can and should help legislators responsibly integrate best practices into law, considering the experience of private companies. "This must be done responsibly, without compromising the country's economic stability, which is currently under special conditions, but also without rejecting global trends under the guise of wartime difficulties. This issue will be especially relevant for the energy sector, where all companies, citizens, and the government are seeking energy solutions," she stresses.
Marta Halabala recommends that companies provide training on ESG and sustainable development for leadership and employees, actively exchange experiences with European industry leaders, identify key advantages of implementing ESG, and appoint responsible persons or teams to manage ESG initiatives. "Training and experience sharing are critical for successfully implementing ESG," she states. "Companies should gradually introduce one or several ESG goals to make the process more manageable," she suggests. "Setting achievable goals and gradually expanding ESG initiatives can help businesses adapt without overwhelming their resources. This approach helps companies better understand requirements and adapt to new standards."

Olga Bielkova adds that companies should start with small, manageable ESG projects that can quickly deliver results. A simple approach is to look at what similar companies are doing in different regions worldwide. Most of them describe their activities in the public domain and are happy to share their experiences.

Marta Halabala emphasizes the importance of inclusion in strategic business decisions: "Gender diversity helps make decisions that reflect the needs and interests of various stakeholders. Including women in supervisory boards, executive committees, regulatory bodies, and industry associations ensures that a broader range of views is considered in policy and strategy formation."

**Conclusion**

In 2024, there is a growing awareness that integrating ESG principles not only enhances companies' reputations in the global market but also contributes to the long-term resilience and competitiveness of Ukrainian businesses. Implementing ESG practices is critically important for Ukrainian companies, especially in the context of war and unpredictable regulatory policies. Leveraging international standards and expert recommendations will help Ukrainian companies adapt to modern challenges and ensure sustainable development.

У 2024 році, на фоні глобальних викликів та трансформацій, змін у вимогах інвесторів, регуляторних оновлень в ЄС та впливі війни, питання впровадження принципів ESG (екологічного, соціального та корпоративного управління) стає все більш актуальним питанням для українських компаній та змушують український бізнес переосмислювати свої підходи до стійкості та відповідальності. Експертки Ольга Бєлькова, старша радниця FTI Consulting, та Марта Галабала, керівниця практики захисту довкілля та сталого розвитку юридичної фірми Asters, поділились, як українські компанії адаптуються до змін.

**Еволюція ESG-підходів в Україні**

Ольга Бєлькова зазначає, що спочатку ESG-підходи в Україні були актуальні лише для найбільших корпорацій, які займаються бізнесом із природними ресурсами та експортом. "Спочатку, переважна частина компаній в Україні сприймала ці три літери (ESG) як щось дивне, закордонне і не дуже актуальне для українських реалій," — згадує вона.

Що таке ESG? Це набір стандартів для операцій компанії, що визначає, наскільки вона екологічно свідома, соціально відповідальна та ефективно управляється. Кожен з компонентів ESG має свою специфіку:

Екологічні практики (Environmental): включають заходи щодо зменшення викидів парникових газів, ефективне використання ресурсів, управління відходами та впровадження екологічно чистих технологій. Наприклад, компанії можуть знижувати споживання енергії, використовувати відновлювані джерела енергії та мінімізувати свій вуглецевий слід.
Соціальні практики (Social): стосуються соціальних відносин і впливу на суспільство. Це може включати забезпечення безпечних умов праці, розвиток місцевих громад, підтримку рівності та інклюзивності, а також захист прав людини. Компанії можуть, наприклад, впроваджувати програми з навчання співробітників, покращувати умови праці та сприяти гендерному балансу.
Корпоративне управління (Governance): передбачає структуру управління компанією, яка включає прозорість процесів прийняття рішень, етичність у бізнесі та відповідність правовим нормам. Сюди входить створення незалежних рад директорів, дотримання антикорупційних заходів та забезпечення відповідності регуляторним вимогам.

Ольга Бєлькова додає: “З часом ми всі стали більш обізнаними щодо ESG не лише за формою та звітністю, а і за суттю необхідності змін для компаній в частині сталого розвитку. По-перше, ESG складається з трьох напрямків оцінки впливу  – Environment, Social і Governance. Найбільш зрозумілою є перша частина, але не можна ігнорувати соціальні вимоги та питання управління. В Україні, особливо під час війни, два останні компоненти  отримали додаткове значення. Питання сталого розвитку під час війни лише на перший погляд видається космічною дефініцією, оскільки зараз головне питання – виживання. Але навіть в ситуації, яка сьогодні відбувається в енергетиці, наприклад, саме зелені технології є засадою для виживання України, бо є пристосованими для швидкої та розподіленної генерації.” Ольга додає, що споживачі та суспільство в Україні стають дедалі більш обізнаними та вимогливими щодо корпоративної та соціальної відповідальності а також дивляться на перспективи майбутнього. "Наші діти вже запитують, чому ми не сортуємо сміття," — говорить вона. ”

Марта Галабала розповідає про свій досвід стажування в Ірландії, де вона побачила, як цілісна стратегія ESG може призвести до реальних, вимірюваних наслідків. "Цілісний підхід до ESG включає екологічні, соціальні та управлінські аспекти," — зазначає вона. "Негайне застосування принципів прав людини у повсякденній діяльності підкреслило важливість поваги та дотримання цих прав у корпоративних рамках. У фірмі багато партнерок, а також існують програми менторства юристок, які прагнуть стати партнерками. Фірма також допомагає чоловікам та жінкам, які мають дітей, розвиватися у професії, надаючи додаткові відпустки по догляду за дитиною та відпустки, пов'язані зі здоров'ям, наприклад, у зв'язку з проблемами фертильності.  Окрім базових дій, таких як сортування відходів, юридична фірма використовує підхід до стратегічного екологічного консультування, і це допомагає клієнтам ухвалювати довгострокові, сталі рішення. Також робота pro bono показала готовність кожного співробітника, від молодших юристів до партнерів, брати участь у проєктах на благо суспільству." Повернувшись в Україну, Марта активно працює над просуванням сталого розвитку та підвищенням обізнаності щодо ESG. Марта додає, що українські компанії стикаються з низкою викликів через війну, непередбачувану регуляторну політику, безпекові питання та брак персоналу. "Навіть попри ці та інші виклики важливо впроваджувати ESG-практики для підвищення стійкості бізнесу," — наголошує Галабала. "Це дозволяє компаніям бути більш готовими до викликів і адаптуватися до нових умов.". 

**Роль міжнародних інвесторів та стандартів**

Ольга Бєлькова підкреслює важливість міжнародних інституцій  у впровадженні ESG-практик в Україні. "ЄС встановлює   дуже високі критерії до ESG, що спонукає інші регіони  враховувати ці метрики," — зазначає вона. "Європейський банк, IFC та EBRD також активно впроваджують ESG-метрики для потреб інсвестування та кредитування, що впливає на українські компанії, які планують таку співпрацю. Більше системне врахування ESG практик та підготовка якісних звітів про діяльність компанії та оцінку ризиків  відкриває нові можливості для фінансування українського бізнесу через підтримку Європейського Союзу," — підкреслює вона. "Інтеграція ESG-метрик стає важливою умовою для отримання міжнародних інвестицій і на рівні ринків капіталів."

Марта Галабала додає, що нормативно-правові акти ЄС, такі як Директива про корпоративну звітність зі сталого розвитку (CSRD) та Механізм прикордонного вуглецевого коригування (CBAM), мають суттєвий вплив на український енергетичний сектор. "Відповідність стандартам ЄС є важливою для отримання доступу до міжнародних ринків та інвестицій," — підкреслює вона. "Це стимулює компанії впроваджувати стійкі практики та підвищувати свою конкурентоспроможність."


**Практичні рекомендації для українських компаній**

Ольга Бєлькова завбачує, що в українському уряді і парламенті ще будуть тривати  дебати щодо прийнятного формату впровадження ESG. І бізнес може і повинен допомогти законодавцям відповідально перенести найкращі практики в законодавство із урахуванням вже існующого досвіду приватних компаній.  “Це має відбуватися відповідально, не порушуючи економічну стабільність країни, яка зараз знаходиться в особливих умовах, але і без того, щоб просто відкидати світові тренди прикриваючись складнощами війни. Особливо актуальним буде це питання для галузі енергетики, де всі компанії, громадяни та уряд шукають енергетичні рішення.” - наголошує вона.

Марта Галабала рекомендує компаніям забезпечити навчання з питань ESG та сталого розвитку для керівництва та співробітників, активно обмінюватися досвідом з європейськими компаніями-лідерами у цій сфері, визначати ключові переваги впровадження ESG та призначати відповідальних осіб або команди для управління ініціативами у сфері ESG. "Навчання та обмін досвідом є критично важливими для успішного впровадження ESG," — зазначає вона. "Компаніям варто поступово впроваджувати одну або кілька цілей з E, S або G, що може зробити процес більш керованим," — рекомендує вона. "Встановлення досяжних цілей і поступове розширення ініціатив ESG може допомогти бізнесу адаптуватися, не перевантажуючи його ресурси. Це допоможе компаніям краще розуміти вимоги та адаптуватися до нових стандартів."

Ольга Бєлькова додає, що компанії мають починати з невеликих, керованих ESG-проєктів-ініциатив, які можуть швидко показати результати. Одним із простих підходів є подивитися, що зараз роблять подібні компанії в різних регіонах світу. Більшість із них описує цю діяльність в публічному просторі і радо ділиться досвідом. 
Марта Галабала підкреслює важливість інклюзії у стратегічних бізнес-рішеннях: "Гендерне різноманіття допомагає ухвалювати рішення, які відображають потреби та інтереси різних зацікавлених сторін. Включення жінок до складу наглядових рад, виконавчих комітетів, регуляторних органів та галузевих асоціацій гарантує, що при формуванні політики та стратегій буде враховано ширший спектр поглядів."

У 2024 році зростає усвідомлення того, що інтеграція ESG-принципів не тільки підвищує репутацію компаній на глобальному ринку, але й сприяє довгостроковій стійкості та конкурентоспроможності українського бізнесу. Впровадження ESG-практик є критично важливим для українських компаній, особливо в умовах війни та непередбачуваної регуляторної політики. Використання міжнародних стандартів та рекомендацій експертів допоможе українським компаніям адаптуватися до сучасних викликів та забезпечити стійкий розвиток.

26 серпня 1920 року стало ключовим моментом в історії, коли 19-та поправка була офіційно сертифікована, забезпечивши право голосу для жінок у Сполучених Штатах. Цей день став не просто завершенням столітньої боротьби, а й початком нової ери в боротьбі за гендерну рівність.

Право голосу розширює можливості жінок, надаючи їм право голосу у формуванні політики та рішень, які впливають на їх життя. Однак він також підкреслив постійну потребу вирішувати глибші проблеми нерівності та дискримінації.

Жінки піднялися до керівних посад, розбили скляні стелі та стали ключовими особами, які приймають рішення в усіх секторах. Проте подорож ще далека від завершення. Справжня рівність виходить за рамки законних прав; вона вимагає культурних, структурних і системних змін.

As Ukraine continues to navigate the challenges of war, companies face unprecedented obstacles and require effective strategies for survival and growth. The principles of ESG (Environmental, Social, and Corporate Governance) are becoming critically important for business resilience. We discussed how Ukrainian companies are leveraging ESG principles to overcome these challenges with Olga Bielkova , Senior Advisor at FTI Consulting, and Marta Halabala, Head of Environmental Protection and Sustainable Development at the law firm Asters.

**Adoption of Green Technologies**

Olga Bielkova emphasizes that the implementation of new green energy and energy-saving technologies, such as solar and wind power, has already become a cornerstone for the survival of some businesses and households amidst ongoing power outages in Ukraine during the war. She notes:
"ESG has gained new significance as a means by which Ukraine can endure and survive. The use of solar and wind energy today is the only energy source for some regions, which they can efficiently and rapidly install on their own. Unfortunately, the centralized power supply system is constantly being disrupted, and relying solely on it is not feasible. The use of renewable energy sources helps ensure the stability of energy supply even under crisis conditions."

**Demand for Solar and Wind Energy in 2024**

The demand for solar and wind energy in Ukraine has significantly increased in 2024 despite the ongoing military conflict. According to the Ministry of Energy, 30% of solar and 90% of wind power plants have been damaged or occupied, yet the country continues to actively develop these energy sources. Ukraine aims to achieve a 50% share of renewable energy in electricity production by 2030. In 2024, several new projects were launched, including the first wind power station in Tiligul, which now provides electricity to 200,000 households.

**The Impact of the Carbon Border Adjustment Mechanism**

Marta Halabala highlights the importance of the Carbon Border Adjustment Mechanism (CBAM) for Ukrainian companies operating in the energy sector. She explains:
"CBAM is an EU policy aimed at preventing carbon leakage by imposing tariffs on imported goods from countries with lower carbon emission standards. This mechanism has a direct impact on the export of electricity from Ukraine to the EU. According to the logic of CBAM, electricity exports to the EU could be subject to tariffs if Ukraine's carbon emission standards are deemed lower than those of the EU. This creates an incentive for Ukraine to align its electricity production with EU standards, potentially accelerating the transition to renewable energy and cleaner technologies. This could happen if Ukraine's energy infrastructure is restored and domestic demand is met."

**ESG Initiatives of Ukrainian Energy Companies**

Ukraine's largest energy companies are actively incorporating ESG principles into their operations. For instance, Naftogaz is investing in reducing methane emissions, increasing energy efficiency, and exploring renewable energy projects. Marta Halabala notes:
"These initiatives are partly driven by the need to comply with EU standards and global expectations regarding ESG. The company is also focusing on improving corporate governance, transparency, and social responsibility projects."
DTEK, Ukraine's largest private energy company, is also actively implementing ESG practices. It has invested heavily in renewable energy projects to reduce its carbon footprint.
Olga Bielkova adds:
"Companies can take advantage of the opportunities presented by new technology approaches that consider ESG impact assessment methodologies. While this may require some initial investment, it will lead to cost reductions in the long run. Installing solar panels may seem like a significant investment, but today it is seen as an important step towards economic independence in the energy market."

**Research and Forecasts**

Research conducted in 2024, such as "ESG Resilience in Conflict Zones" and "Sustainable Business Practices Amid Crisis," confirms that companies implementing ESG principles demonstrate greater resilience to crisis situations and enjoy higher levels of trust from investors and consumers.
Olga Bielkova concludes:
"ESG is not only a matter of survival but also a tool for achieving sustainable development and competitiveness."
Integrating ESG strategies into business practices is becoming an integral part of success and resilience for Ukrainian companies in today's environment. Leveraging international experience and expert recommendations will help Ukrainian companies overcome challenges and secure long-term success.

Енергетична стійкість бізнесу в Україні: роль ESG під час війни

В той час, коли Україна продовжує жити в умовах війни, а компанії стикаються з безпрецедентними викликами і потребують ефективних стратегій для виживання та процвітання, принципи ESG (екологічного, соціального та корпоративного управління) стають критично важливими для стійкості бізнесу. Про те, як українські компанії використовують принципи ESG для подолання викликів, ми поговорили з Ольгою Бєльковою, старшою радницею FTI Consulting, та Мартою Галабалою, керівницею практики захисту довкілля та сталого розвитку юридичної фірми Asters. 

**Використання зелених технологій**

Ольга Бєлькова підкреслює, що впровадження нових зелених технологій енергії та енергозбереження, таких як сонячна та вітрова енергія, вже стало основою для збереження бізнесу деяких компаній та виживання домогосподарств в умовах постійних перебоїв електроенергії,  в Україні під час війни. Вона зазначає:
"ESG-набули нового значення як спосіб, за допомогою якого Україна може вистояти та вижити. Використання сонячної та вітрової енергії сьогодні є єдиним джерелом енергії для деяких регіонів, яке вони можуть ефективно та швидко встановити самостійно. На жаль,  централізована система подачі електроенергії постійно руйнується і покладатися лише на неї не можна. Використання відновлюваних джерел енергії допомагає забезпечити стабільність постачання енергії навіть у кризових умовах."

**Попит на сонячну та вітрову енергію в 2024 році**

Попит на сонячну та вітрову енергію в Україні у 2024 році значно зріс, незважаючи на військові дії. За даними Міністерства енергетики, 30% сонячних і 90% вітрових електростанцій були пошкоджені або окуповані, але країна продовжує активно розвивати ці джерела енергії. Україна планує до 2030 року досягти 50% частки відновлюваних джерел у виробництві електроенергії. У 2024 році було запущено декілька нових проєктів, таких як перша вітрова електростанція в Тилігульську, яка вже забезпечує електроенергією 200,000 домогосподарств​​.

**Вплив механізму коригування вуглецевих кордонів**

Марта Галабала звертає увагу на важливість Механізму коригування вуглецевих кордонів (CBAM) для українських компаній, які працюють у сфері енергетики. Вона пояснює: "CBAM — це політика ЄС, спрямована на запобігання витоку вуглецю шляхом встановлення тарифів на імпортні товари з країн з нижчими стандартами викидів вуглецю. Цей механізм має прямий вплив на експорт електроенергії з України до ЄС. За логікою CBAM експорт електричної енергії в ЄС може бути обкладений тарифами, якщо стандарти викидів вуглецю в Україні будуть визнані нижчими, ніж в ЄС. Це створює стимул для України привести виробництво електроенергії у відповідність до стандартів ЄС, що потенційно прискорить перехід на відновлювані джерела енергії та більш чисті технології. Це можливо, якщо попит в Україні буде задоволено після відновлення пошкодженої енергоінфраструктури."

**ESG-Ініціативи українських енергетичних компаній**

Найбільші енергетичні компанії України активно впроваджують ESG-принципи у свою діяльність. Нафтогаз, наприклад, інвестує у скорочення викидів метану, підвищення енергоефективності та вивчення проєктів з відновлюваної енергетики. Марта Галабала зазначає: "Ці ініціативи частково зумовлені необхідністю відповідати стандартам ЄС та глобальним очікуванням щодо ESG. Також компанія зосереджується на вдосконаленні корпоративного управління, прозорості та проєктах соціальної відповідальності."
ДТЕК, найбільша приватна енергетична компанія України, також активно впроваджує практики ESG. Вона інвестувала великі кошти у проєкти з відновлюваної енергетики, щоб зменшити свій вуглецевий слід. 
Ольга Бєлькова в свою чергу додає: "Компанії можуть скористатися можливостями, які відкриваються завдяки підходам нових технологій із врахуанням методик оцінки впливу ESG. Це може вимагати певних інвестицій на початку, але довгостроково призведе до здешевлення процесів. Встановлення сонячних батарей видається великою інвестицією, але сьогодні це розглядається як важливий крок для власної економічної незалежності на ринку енергії."

**Дослідження та прогнози**

Дослідження, проведені у 2024 році, такі як "ESG Resilience in Conflict Zones" та "Sustainable Business Practices Amid Crisis" підтверджують, що компанії, які впроваджують ESG-принципи, демонструють більшу стійкість до кризових ситуацій та мають вищі показники довіри з боку інвесторів та споживачів. 
Ольга Бєлькова підсумовує: "ESG є не тільки питанням виживання, але й інструментом для досягнення сталого розвитку та конкурентоспроможності."
Інтеграція ESG-стратегій у бізнес-практики стає невід'ємною частиною успіху та стійкості для українських компаній в сучасних умовах. Використання міжнародного досвіду та рекомендацій експертів допоможе українським компаніям подолати виклики та забезпечити довгостроковий успіх.

Впровадження ESG-принципів у бізнес стає не лише важливою стратегією виживання в умовах кризи, але й запорукою сталого розвитку та конкурентоспроможності на міжнародному ринку. Energy Resilience of Business in Ukraine

Today, Ukraine faced yet another brutal and senseless attack. One of the largest children's hospitals in Ukraine has been destroyed, along with a private maternity hospital and several apartment buildings across the country. Children, women, doctors, and civilians are all under attack. The death toll is rising, and the images of sick children with their mothers amid the ruins are heart-wrenching. This cruelty and horror must be condemned.

No one can look at these images and find any justification. It is a crime, and any silence in response is also a crime. As Women on Boards Ukraine, we call on the international community to hashtag#StandwithUkraine and unite in condemning these atrocities.

The cruelty of the war on Ukraine is a horrific illustration of the need for international pressure, strength, unity, and decisiveness to make a difference. We all strive to make the world better, more equal, safer, greener, and more responsible. There are so many things still to improve, but nothing can be achieved while wars persist. Wars must stop, and war crimes must be prosecuted.

We urge everyone, all our partners and all our members, to raise their voices, demand action, and act in support of Ukraine.

Сьогодні Україна зіткнулася з черговим жорстоким і безглуздим нападом. Зруйновано одну з найбільших дитячих лікарень України, приватний пологовий будинок і кілька житлових будинків по країні. Діти, жінки, лікарі та мирні жителі – усі під ударом. Кількість загиблих зростає, а зображення хворих дітей з матерями серед руїн щемлять серце. Цю жорстокість і жах треба засудити.

Ніхто не може подивитись на ці зображення і знайти їм якесь виправдання. Це злочин, і будь-яке мовчання у відповідь теж злочин. Як Women on Board Ukraine, ми закликаємо міжнародне співтовариство поставити хештег #StandwithUkraine і об’єднатися, щоб засудити ці звірства.

Жорстокість війни проти України є жахливою ілюстрацією необхідності міжнародного тиску, сили, єдності та рішучості, щоб змінити ситуацію. Ми всі прагнемо зробити світ кращим, рівноправнішим, безпечнішим, екологічнішим і відповідальнішим. Є так багато речей, які ще потрібно покращити, але нічого не можна досягти, поки тривають війни. Війни мають припинитися, а військові злочини мають переслідуватися.

Ми закликаємо всіх, усіх наших партнерів і всіх членів підвищити свій голос, вимагати дій і діяти на підтримку України.
